21-262 Amendment #4 dated 4-30-24 to Quartic Agreement for GIS Support1 FOURTH AMENDMENT TO AGREEMENT 21-262 BETWEEN THE CITY OF CUPERTINO AND QUARTIC SOLUTIONS LLC., FOR GIS SUPPORT SERVICES This Fourth Amendment to Agreement 21-262 is by and between the City of Cupertino, a municipal corporation (hereinafter "City") and Quartic Solutions, LLC., a Limited Liability Company (“Contractor”) whose address is 1804 Garnet Ave. #447, San Diego, CA 92109, and is made with reference to the following: RECITALS: A. On November 30, 2021, Agreement 21-262 (“Agreement”) was entered into by and between the City and Contractor for GIS Support Services. B. On June 6, 2022, Amendment 1 (“Agreement”) was entered into by and between City and Contractor for GIS Support Services. C. On July 13, 2022, Amendment 2 (“Agreement”) was entered into by and between City and Contractor for GIS Support Services. D. On June 12, 2023, Amendment 3 (“Agreement”) was entered into by and between City and Contractor for GIS Support Services. E. City and Contractor desire to modify the Agreement on the terms and conditions set forth herein. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. TIME OF PERFORMANCE Paragraph 3.1 of the Agreement is modified to read as follows: This Agreement begins on the Effective Date and ends on August 30, 2028 (“Contract Time”), unless terminated earlier as provided herein. Contractor’s Services shall begin on the effective date and shall be completed by August 30, 2028. The City’s appropriate department head or the City Manager may extend the Contract Time through a written amendment to this Agreement, provided such extension does not include additional contract funds. Extensions requiring additional contract funds are subject to the City’s purchasing policy. 2. COMPENSATION Paragraph 4.1 of the Agreement is modified to read as follows: City will pay Contractor for satisfactory performance of the Services an amount that will based on actual costs but that will be capped so as not to exceed $354,800.00 (“Contract Price”), based upon the scope of services and pricing in Exhibit A and the estimated annual amounts included in Exhibit C-3, attached and incorporated here. The maximum compensation includes all expenses and reimbursements and will remain in place even if Contractor’s actual costs exceed the capped amount. No extra work or payment is permitted without prior written approval of City. 3. Exhibit C-3 to the Agreement is replaced with Exhibit C-4, attached here, and incorporated. 2 IN WITNESS WHEREOF, the parties hereto have caused this modification of Agreement to be executed.
