WEREAS, the Planning Commission of the City of Cupertino received an
application for a Use Permit, as described on Page 2 of this Resolution;
and
WFERFAS, the applicant has met the burden of proof required to support
said application.; and
WHERPAS, the Planning Comussipn finds that the application meets the
following requirements:
a) That the use or uses are in conformance with the General Plan of
the City of Cupertino, and are not detrimental to existing uses or
to uses specifically permitted in the zone in which the proposed
use is to be located.
b) That the property involved is adequate in size and shape to
accommodate the proposed use.
c) Zhat the proposed use will not generate a level of traffic over and
above that of the capacity of the existing street system.
d) 7hat the proposed use is otherwise not detrimental. to the health,
safety, peace, morals and general welfare of persons residing or
working in the neighborhood of such proposed uses, nor injurious to
property and movements in the neighborhood.
NOW, IIiEREEME, BE IT RESOLVED:
That after careful consideration of maps, facts, exhibits, testimoary and
other evidence submitted in this matter, the application for Use Permit is
hereby reccmmerded for approval, subject to the conditions which are
enumerated in this Resolution beginning on Page 2 thereof; and
That the mtconclusions upon which the findings and conditions specified
in this Resolution are based and contained in the Public Hearing record
concerning Application 11-U-90 as set forth in the Minutes of the Planning
Commission Meeting of October 29, 1990, and are incorporated by reference
as though fully set forth herein.

accordance with City standards and specifications and as required by the
City Engineer.
Said improvement shall include modification of the Mariam Avenue/DeAnza
intersection. East approach improvements shall be implemented concurrently
with the first phase of project construction. South approach improvements
shall be inplemented as directed by the City. Zb ensure ea:pletion of said
south approach improvements, the developer shall provide a Letter of Credit
in the amount of $130,000 valid for a period of seven years from the
effective date of the use permit.
prior to issuance of building permits far construction of all or any
portion of the approved development, the developer shall provide to the
City a Letter or Credit, or other suitable financial instrument, as
security for wideniril of the DeAnza Boulevard bridge over Route 280. The
developer shall contribute $250,000 for said widening improvements. in the
event that the total project cost exceeds $500,000, the applicant shall
contribute 50% of the actual cost as determined by the official Engineer's
Estimate.

Curbs and gutters, sidewalks and related structures shall be installed in
accordance with grades and standards as specified by the City Engineer.

Street lighting shall be installed and shall be as approved by the City
Engineer. Lighting fixtures shall be positioned so as to preclude glare
and other forms of visual interference to adjoining properties.
4. FIRE SAFEPY
Developer shall cmply with all fire safety requirements specified by the
City in cmzultaticn with the Central Fire District.

5. Sr= TREES
Street trees shall be planted within the Public Right of Way and shall be
of a type approved by the City in accordance with Ordinance 125.
6. GRADING
Grading shall be as approved and floor floor by the elevation shalEngineer ll
aocoxdar�ce with Oidir�ance 1143. First
not exceed the highest top of curb elevation on the adjoining DeAnza
Boulevard frontage.
7. DRAIPUIGE
Drainage shall be provided to the satisfaction of the City Engineer.
8. UNDEFJMzaND UrIL1=
The developer shall - Fly with the requirements of the Underground
Utilities Ordinance No. 331 and other related Ordinances and regulations of
the City of Cupertino, and shall coordinate with affected utility providers
for installation of underground utility devices. The developer shall
submit detailed plans showing utility underground provisions. Said plans
shall be subject to prior approval of the affected Utility provider and the
City Engineer.
The project developer shall enter into a development agreement with the
City of Cupertino providing for payment of fees, including but not limited
to d=king and inspection fees, sterm drain fees, park dedication fees and
fees for undesgroundincJ of utilities as required by City Ordinance. Said
agreement shall be executed prier to issuance of construction permits.
10. TRANSFOdd:S
Electrical transfer sf telephone vaults and similar above ground
equipment enclosures shall be screened with fencing and landscaping or
located undergroind such that said equipment is not visible fr® public
street areas.

The reco mandation of approval is based on Sheet S-2, 3, 5, 6-15, dated 17
Septanber 1990 of Application 11-U-90, and Sheets M-1 (10/22/90), Roof
Antenna Plan 3veet (10/22/90), of Application 11-U-90, except as may be
amended by the conditions stated in this Resolution.
All existing buildings on the subject site shall be demolished at one time
or in phases at the developer's discretion. If demolition is phased, the
following stipulations apply:
a) Developer shall obtain staff approval of a development phasing diagram
depicting the gross and net floor area and location of all structures
to remain in use and to be removed during each phase, existing and
redeveloped site Mgzvvements for each phase, and the approximate time
schedule for each phase.
b) No more than 785,000 s.f. of net usable floor shall be occupied during
each phase of demolition/new construction.
c) The existing easterly structures shall be removed during the lattermost
phase of demolition/reconstruction in order to provide noise buffering
to the adjoining neighborhood during preceding phased demolition
activity.
In the event that the applicant or subsequent property owner shall desire
to make any minor changes, alterations or amendment of the approved
development plan, a written request or revised development plan shall be
submitted to the Director of Cc=u pity Development. If the Director makes
a finding that the changes are minor and do not result in a material affect
upon the appearance or function of the project, said changes may be
certified on the revised plan. If approval of said changes is withheld,
the applicant may appeal to the Planning Cmm scion.
If the Director finds that the requested changes are material, such changes
shall be referred to the Planning Commission for approval. If the changes
are denied by the Planning Cauundssion, the applicant may appeal to the City
Council as provided in City Ordinance No. 652.
If said changes are approved by the Planning Camaission, an appeal may be
made to the City Council by any interested party. Further, any Member of
the City Council may request a hearing before the City Council regarding
said approved changes. Said request shall be made within ten (10) days
from the date of approval of said changes by the Planning Commission.

The developer shall record a covenant to describe the trip acre constraint
and the total number of trips allocated to the development at the time of
development approval. The covenant shall include appropriate wording to
suggest that future purchases of the property consult the individual Use
Permit file to obtain an updated status report of the total number of trips
allocated to each particular property.

Prior to issuance of building permits, the developer/owner of Assessor's
Parcel Nos. 316-02-101, 316-02-97, 316-02-103, 316-02-104, 316-22-017 arid
316-22-018 shall record a covenant describing the individual trip end
accounting for each parcel, including the specific allocation of "Trips
Purchased" from the aggregate number of "Trips Purchased" stated in
CUnditicn 15 of this Resolution.
The developer shall ensure that the existing masonry acoustical barrier at
the easterly perimeter of the site adjacent to the parking area is retained
and remains undamaged during demolition and site reconstruction activity.
The developer shall install sixty (60) sealed bicycle locking devices.
Said bicycle parking area shall be located to provide maximum cpPcrtunity
for surveillance from interior reception areas to discourage theft.
Additional bicycle locking devices may be required in conjunction with the
projects Traffic Demand Management progam.

Off-street parking requirement is based on the net floor area of the
project, as stated in Condition 20 of this Resolution. In no case shall the
number of on site parking space be less than 2,600. Up to 8% of that total
may be reserved for preferential van pool and car pool parking.

The subject use permit authorizes d®olition of 570,000 sq. ft. of existing
building area, and subsequent construction of an occupancy of 785,000 s.f.
(net) of industrial/office space. Prototype research and development
activity shall be conducted in accordance with General Plan Land Use
Element Policy as stated on Page 2-32. IndtaG*rial and Administrative office
activity is permitted as described in section 4.1 of Ordinance 002(y).
The net floor area of project, and for each individual building, shall be
configured in accordance with the "Schedule of Building Area -Draft B" in
Application 11-Li-90. The "courmns" designation applies to Building 6 which
is limited to auditorium, fitness center and employee cafeteria use in
support of the uses within the other five buildings in the complex.
Building 6 shall not include retail space open to the public,
warehousing/shipping/receiving facilities which support activities in the
other five buildings, and shall not include industrial/office/R&D use
activity.
Up to a total of 10,000 net s.f. of retail space open to the public may be
installed in the ca,lex, except in Building 6. The intent of authorizing
said space is to facilitate convenience shopping for on -site employees to
diminish off -site vehicle trips, said retail space shall be counted at the
same trip rate of 1 trip/1,000 s.f. as is applied to office use in the
trip -end accounting stated in Condition 15. Commercial activities permitted
by right and food establishments as defined in the CG Zoning ordinance are
allowed.
All other activities not specified in the precedirg paragraph shall require
separate Use Permit approval.

The property owner shall enter into a recorded agreement setting forth the
detailed requirements for iaplementation of the transportation demand
management monitoring and mitigation program stated on Pages E-9 through
E-15 of the project Initial Study dated 09/20/90. Said agreement shall be
subject to approval as to form and content prior to recordation.
22. PUBLIC ART
Prior to issuance of construction permits, the City Council shall retain
the option to require installation of one or more "works of art" for public
viewing and accessibility within the project's boundaries, as said works of
art are defined in the guidelines developed by the Cupertino Fine Arts
Commission and adopted by the City Cm=il in January, 1988. The maximum
cost obligation for the developer mandated by this condition is $100,000.

'dhe subject matter, placement and degree of public accessibility to works
of art displayed shall be subject to approval of the Fine Arts WMLissicn,
with final approval of the City Council. cost for acquisition and ongoing
maintenance of said works of art shall be borne by the developer or
successor in interest. The developer shall record an appropriate instrument
holding harmless the City of Cupertino from any liability associated with
the installation and display of said works of art.
The developer shall submit a ccmprehensive landscape planting sign for
formal review by the Architectural and Site Approval Ccmcmittee prior to
issuance of building permits. The landscape plan shall reflect attention to
the following details:
a) Compliance with the City's Xeriscape lard cur water conservation
program.
b) Placement of specimen trees for adequate visual screening of residents
fraa upper floor office spaces, as indicated on Sheet 6 approved under
Condition 11 herein.
c) Compliance with the North DeAnza Boulevard Conceptual Plan landscaping
guidelines for any portion of the DeAnza Boulevard frontage which may be
disturbed during site lion.
The property owner shall be responsible for implementation of the following
noise control requirements:
a) Delivery of food products for the cafeteria via small delivery vans is
permitted during "nighttime" hours if the delivery is tl� a "man"
door. other delivery activities including use of the truck dark loading
doors is regulated by the Municipal Code.
b) Activities in the outdoor amphitheater and other outdoor spaces shall
preclude the use of amplified music, loudspeakers and other Miselmaking
devices during "nighttime" hags as defined by the Municipal Code.
c) Enter into a recorded agreement, acceptable to the city attorney as to
farm and content, for implementation of the Noise Control Monitoring and
Mitigation Program, describes on Pages E-5 to E-8 of the project Initial
Study dated 09/20/90.
Prior to application for building permits, the developer shall prepare a
security plan for the complex, in consultation with the County Sheriff's
Office.

At their regular meeting of October 6, 1991, the Cupertino City Council
deferred the te;EQorary screen interim measure consideration until October
21 and approved the following conditions as recommended by staff:

The approval is based upon the illustrative Master Plan revised
September 16, 1991, describing location, size, and spacing of Southern
Oak trees, and site selection plan revised October 1, 1991, modifying
the description, size, planting height, spacing and rate of growth of
parking lot tree screening, except as may be amE nded by the conditions
enumerated herein.

Eucalyptus Nidholi trees shall be installed as a visual screen as
described on exhibit labeled *Site Sections: Revised October 1, 1991.'
- The Eucalyptus Nicholi trees shall be purchased with a minimum
height of 12 feet; purchased and installed as soon as possible.
- The applicant e s landscape architect shall certify the trees are a
minimum, of 12 feet high when purchased.
- Curbing for the planter area shall be installed prior to planting.
- A tree protection fence as described in the City's standard detail
6-4 shall be constructed when the trees are planted. The fence may
be removed temporarily when the asphalt is installed.
- An irrigates systen conforming to the Xeriscape Guidelines shall
be installed along with the trees.
- Laying the asphalt may be deferred at the applicant's discretion.

LOCATED AT THE SOLYn FAST QUADRANP OF DEANZA BOULEVARD AND I-280
At their regular meeting of July 15, 1991, the Cupertino City Council
approved your application per Architectural and Site Approval CcnTdttee
Resolution No. 1629 amended with the following conditions:
1-8) Standard Architectural and Site Approval Committee conditions to
the extent that they do not conflict with the special conditions
Listed herein. In the event of conflict, the specific conditions
listed herein shall prevail.
9) The approval is based upon landscape and irrigation plans dated
July 8, 1991 (8 sheets), Site section plan dated July 8 1991,
except as may be amended by conditions contained herein.
10) Landscaping shall be installed prior to final occupancy of the
first building in each landscaping phase. Each landscaping phase
shall include two buildings and enough parking to accommodate
those buildings. Phase one shall include buildings 1 and 2,
phase two, buildings 3 and 4, and phase three, buildings five and
six.
11) The landscape Architect shall certify conpliance with Cupertino's
Xeriscape G ideLines.

FINDINGS:
The Architectural and Site Approval Committee finds as follows with regard
to this application:
1) That the Comprehensive Landscape and irrigation plan meets the
requirements of Cupertino's Xeriscape Guidelines as conditioned
herein.
2) That the placement of specimen trees provides adequate visual
screening of residents from upper floor office spaces, as indicated
on sheet 6 dated September 17, 1990.
3) That the landscape Plan meets the landscape requirements of the North
De Anza Blvd. Conceptual Plan for all portions of the De Anza
frontage which may be disturbed during site construction.
CONDITIONS:
1-8) St'ardarrd Architectural and Site Approval CCmmtittee conditions to the
extent that they do not conflict with the special conditions listed
herein. In the event of conflict, the specific conditions listed
herein shall prevail.
9) The approval is based upon landscape and irrigation plans dated July
8, 1991 (8 sheets), Site section plan dated July 8, 1991 except as
may be amended by conditions enumerated herein.
10) The 24" box sycamore and camphor trees to be used as screening across
the entire east Property shall be purchased at the same time as the
trees are purchased for landscaping phase one. Planting may be
deferred until landscape Phase two and three are planted.
11) Landscaping shall be installed prior to final occupancy of the first
building in each landscaping Phase. Each landscaping phase shall
include two buildings and enough parking to accam-cdate those
buildings. Phase one shall include buildings 1 and 2, phase two,
buildings 3 and 4, and phase three, buildings 5 and 6.
