A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CUPERTINO AUTHORIZING EXECUTION OF PERSONAL
SERVICES AGREEMENT BETWEEN THE CITY OF CUPERTINO
AND LIFETIME TENNIS FOR RECREATIONAL TENNIS
INSTRUCTION AT THE CUPERTINO SPORTS CENTER
WHEREAS, there has been presented to the City Council a proposed Personal
Services Agreement between the City of Cupertino the Lifetime Tennis to provide tennis
lessons to city-sponsored groups at the Cupertino Sports Center; and
WHEREAS, the terms, conditions and provisions of the agreement have been
reviewed and approved by the City Attorney and the Director of Parks and Recreation,
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Cupertino hereby approves the aforementioned agreement and authorizes the Mayor and
the City Clerk to execute said agreement on behalf of the City of Cupertino,
PASSED AND ADOPTED at a regular meeting of the City Council of the City of
Cupertino this 5th day of June, 1995 by the following vote:

The minimum and maxi111um numher of stude11ts may be modified by
mutual agreement.
(b) Laws to be Observed . TENNIS PRO and his employees shall obey
all rules, regulations. and laws of the CITY or any other governmental agency and
shall procure, at his sole cost, all permits and licenses required for his condm:t of
business at the Sports Center.
(c) Collection of fees and Charges. All fees and charges fer the
services provided by TENNIS PRO shall tv~ collected from the public by the CITY.
4. CQMe.ENSATION. For the full j)erformance of the services described
herein by TENNIS PRO, CITY shall pay TENNIS PRO 80% of all gross revenue
received by CITY for the TENNIS PRO's services to be paid as follows:
(a) Paymems for lessons given to city-sponsored groups shall be paid
within thirty (30) days of the beginning of each cl,JSS session .
(b) Payments for privatt: le -.,ons shall ht: paid within thirty (30) days of
commen~ing instruction.
(c) The CITY shall provide TENNIS PRO a wri1ten monthly accour.ring
of all monies received pursuant to this agreement. Unless wri1ten objections to any
particular accounting is received hy CITY frqm TENNIS PRO within thirty (30) days
of receipt, such accounting shall he dt:t:rrn:d to he final.
(d) The fet:s and cha!"ges for all lessons both for city-sponsored and
private pupils will ht: established solely hy the CITY pursuant to its normal procedure
for estahlishing such fees and charges.
(e) Exci~sive Privilege . During the term o f this agreement. TENNIS
PRO is granted the exclusive privilege of providing tennis instruction at the Cupe, tino
Sports Center other than thJI which is provided by CITY employees in connection with
city-sponsored programs .

automaticaily terminated . Either party may terrnin:ite this agreemcnr at an earlier time
than ahovc spccitit:d hy giving ninety (90) days written notice to the other party.
6. I.ER,\1INATI0N FOR BREACH . Notwithstanding the provisions of
section 6 ahove, should either party he in default in the performance o f this agreement
or materially hreach any of its provisions. the non-hreaching party may. at its option.
immediately terminate this agreement hy giving wrillcn notification to the other party .
7 . I.E.MPORARY SUSPENSION. The City Manger shall have the
authority to suspend rhis agreement. wholly o r in part. for such period as he deems
necessary due to unfavorahle conditions or to the failure on the part of the TENNIS
PRO to perform any provisi o n of this agreement.
8. ASSIGNMENT: SUBCONTRACTORS: EMPLOYEES .
(a) As!ii~nn1cnt. Both parties s hall g ive their p•.:rsonal aucntion to the
faithful performa:ice of this agreement and shal I not assign. tran sfer. convey. or
otherwise dispose of this agreerr.ent or any right. title, or intere s t in or to the same or
any part thereof without the prior written consent of the other party, and then only
subject to such terms and conditions as the other party may require. A consent to one
assignment shall not he deemed to be :1 consent to any s ub seq uent assignment. Any
assignment without such approval sll«I! be void and, at the option of the or her party.
shall terminate this agreement and any license or privilege granted herein . This
agreement and any interest herein sh •• !I not he assignable hy operation of law without
the prior wri1ten consent of the other p,,ny .
(h) Subcontractors; Er,112illYm. TENNIS PRO shall he responsible for
employing or engaging all persons neces sary w perform the services of TENNIS PRO
hereunder. No subcontractor of TENNIS PRO will he recognized by CITY as such:
rather. all subcontractors arc deen1<·d to be employees of TENNIS PRO. and it agrees
to he responsible for their performanc..:. TENNIS PRO shall give its personal attention
to the fulfillment of the provisions of this agreement by :t!I of its employees and
subcontractors, if any. and shall keep the ·.•1ork under its contrr 1• If any employee or
subcontractor of TENNIS PRO fails or refu ses to carry out the provisions of this
agreement or appears to be incompetent or to act in a disorderly or improper manner.

10. INTEREST OF TENNIS PRO. TENNIS PRO covenants that it
presently has no interest, and shall not acquire any interest, direct or indirect, 1,nancial
or otherwise, which would conflict in an) nanner or dcgr,·e with the performans e of
tJ1e ~ervices hereunder. TENNIS PRO further covenants !hat. in the performance of
this agreement. no subcontractor or person having such an interest shall be employed.
TENNIS PRO certifies that no one who has or will have any financial interest under
this agreement is an officer or <.:mployee of CITY. It is expressly agreed that, in the
performance of the services hereunder. TE~NIS PRO shall at all times be deemed 2n
independent contractor and not an agent or employee of CITY.
11. INDEMNITY. TENNIS PRO hereby agrees to indemnify and save
harmless CITY. its officers, ag,,nts, and employees of and from:
(a) Any and all cl~ims and demands which may be made against CITY.
its office,, agents. or employees by reason of any injury to or ,Jeath of any person or
damage suffered or sustained by any person or corporation caused by. or ailegec., to
have been caused by. any a<.:t or omission, negligent or 01herwisc, of TENNIS PRO or
any subcontractor under this agreement or of TENNIS PRO's or any subcontractor's
employees or agents;
(b) Any and all d:image to or destruction of the property of CITY. its
officers. agents, or employees occupieu or used hy or in the care. rnstody. or control
of TENNiS PRO. or in proximity to the site of TENNIS PRO's wc,rk, caused by any
act or omission, negligent or otherwise. of CONTRACTOR or any subcontractor under
this agreement or of TENNIS PRO's or any subcontrac1or'·; employees or agenls.
(c) Any and all claims and demands which may be made againsl CITY.
its officers. agenls, or employees by reason or any injury 10 or death of or damage
suffered or sustained by any employee or agent of TENNIS PRO or any subcontractor
under this agreen.ent. however caused, excepting, however. any such claims and
demands whict are the result cf !he sole negligen<.:t: or willful 111,sc.:onduc.:t of CITY, its

its officers. agents. or employees hy reason of any infringement or alleged

the sue of any apparatus. appliance. or materials furnished by TENNIS PRO or any
sulx:ontractor under this agreement: and
(c) Any and all penalties imposed or damages sought on acrnunt of the
violation of any law or regulati0n or of any term or condition of any permit.
TENNIS PRO. at its own cost. expense, and risk, shall defend any and
all suits, actio1 ::, or other legal proceedings that may he brought or instituted by third
persons against CITY. its officers. agents, or employees on any of the above claims or
<lem1nds of such third persons. or to enforce any of the above penalties, and pay and
satisfy any judgment or decree that may be rendered against CITY. its officers. agents,
or employees in any such suit, action. or olher legal pro<.:eedings.
12 . WORKERS' COMPENSATION. TENNIS PRO ct.rtifies that it is
aware of the provisions of thr Labor Code of the State of California which require
every employer to be insured ag,,inst liability for workers' compensation or to
undertake self-insurance in accordance with the provisions of that code, and it certifies
that it will comply with such provisions before commencing the performance of the
work of this agreement.
13 . lli.S.URANCE. TENNIS PRO, at its sole cost and expense, shall obtain
and maintain in full force and effect throughout the entire term of this agreement the
insurance coverage of at least a "B " ra1ing as determined in accordance with the
insurance industry standard. insuring not only TENNIS PRO. hut also (with the
exception of w o rkers' rnmpcnsation and employer's liahili1y insurance). CrTY. its
officers. agents, and e111ployet:s , and t:ach of" them wi1h rt:.s pect to ac1ivi1ies anu
service'.; performeu by TENNIS PRO for or on behalf of CITY under the provisions of
this agreement .
Cerliricatt:s or such insurance. preferably on 1hc forms provided hy
CITY. shall ht: tiled with CITY conrnrre111Jy with !he ext:cution of this agreement or,
with CITY's approval, within ten (10) days thereafter . Said certificates shall he subject
to the approv·il of the City Attorney and shall contai!1 an endorsement stating that said
insurance is primary coverage and will not he cancelled or altered by the insurer except
after filing with the City Clerk thiny (:,0) days' written notice of such cancellation or
alteration, and that the City of Cupertino is named as an additional insur.:J . Current
certificates of such insurance shall Ix: kept on fik at all times during the term of this
agreement with the City Clerk .
14. AGREEMENT BIN.UlN.G.. The terms. covcnanls, and conditions of this
agreement shall apply to, and shall bind , the heirs. successors, executors,
a dministrators. assigns. and s uhCt lntractors of both parties .

16. COSTS AND ATTORNEYS FEES. The prevailing party in any action
brought to enforce the terms of this agreement or arising out of this agreemr··t may
recover its reasonable costs and altorneys' fees expended in connection with sL..:h an
action from the other party.
17 . NONDISCRIMINATION . No discrimination shall be made in the
employment of persons under this agreement because of the race. color, national
origin. ancestry. religior. or sex or such person. If the value of this agreement is. or
may be, Five Thousand Dollars ($5 ,000) or more, TENNIS PRO agrees to meet all
requirements of the Cupertino Municipal Code pertaining to nondiscrimination in
employment and to complete and submit the "Compliance Report--Nondi,,crimination
Provisions of City of Cupertino Contracts" on the form furnished by CITY.
If TENNIS PRO is found in violation of the nondiscrimination
prov1s1ons of the State of California Fair Employment Practices Act or similar
provisions of federal law or executive order in the performance or this agreement, it
shall thereby be found in material breach ~r this agreement. Thereupon, CITY shall
have the power to cancel or suspend this agreement. in whnk or in part. or to deduct
from the amount payar~e to TENNIS PRO the sum or Twenty-five Dollars ($25) for
each person for eat:h t:akndar day during wl:it:h said person was discriminated against.
as damages for said breat:h of rnntrac.:r. or bl>th. Only a finding of the State of
California Fair Employment Practices Commi<;_-;ion or the equivalent federal agency nr
officer shall constitute evidence or a violation of contract under this paragraph .
If TENNIS PRO is foui1d in violation 'of the nondiscrimination
provisions of this agreement or the :.',j)pl it:ahle affirmative action guidelines pertaining
to this agreement, TENNIS PRO shall he found in material bread1 of this agreement.

PRO and supersedes all prior negotiations. repre se ntations. or agreements. eit:1cr
written or oral. This document may be amended only by wriuen instrument, signed by
both CITY and TENNIS PRO. All provisions of this agreement are expressly made
conditions. This agreement shall he governed hy the laws of the State of California.
