THIS EASEMENT AGREEMENT FOR PUBLIC EVENT PURPOSES
("Agreement") is made and entered into this TI'llday of MAvc 2014, by Main
Street Cupertino. Aggregator, LLC, a Delaware limited liability company (hereinafter
referred to as "Grantor") and the City of Cupertino, a California municipal corporation
(the "City').
RECITALS:
1. Grantor is the owner of real property and improvements located within the,
City of Cupertino, County of Santa Clara, 'hate of California (the "Property"), as
described in Exhibit A of this Agreement. The Property is part of a mixed use
development commonly referred to as Main,Street Cupertino, a complex including office,
residential, and retail components (the "Project"), including an open space area of
approximately 21,006 square feet as described.in Exhibit B and shown in Exhibit C of
this Agreement. known as "Town Square'.
2. The conditions of approval for the Project require Grantor to grant an
easement to the City allowing the City to use the Town Square for public use and
community'events, and to enter into a Joint Use Agreement with,the•City governing the
use, programming, access, and maintenance of Town Square.

NOW, THEREFORE, the Parties agree as follows:
1. Grant of Easement. For valuable consideration, Grantor hereby grants and
conveys to the City, it successors and assigns, a perpetual, non-exclusive Easement for
Public,Event Purposes, over, under and across all that real property described in Exhibit
B and shown in Exhibit C of this Agreement (the "Easement" or"Town Square") which
use shall be governed by and be subject to the Joint Use Agreement. This grant includes
the right of City, its successors, permittees, licensees and assigns, and their agents land
employees, and the general public to enter upon the Easement during times designated for
public activities and events pursuant to the provisions,of the Joint Use Agreement, and to
access the Easement area from adjoining properties and.through the private land through,
other public access easements required as part of the Project. ,
2. Construction and Maintenance of TownSouare. Grantor shall construct, maintain
and repair Town Square at its own cost and expense in good repair and condition in
accordance,with similar standards the City has established for other public parks'inithe
City of Cupertino. The Town Square,shall be maintained in excellentconditi'onsimilarto
other public;areas in other first class mixed use retail developments,
3. No Interference. Grantor shall not erect any barriers to access Town Square, either
to Town Square itself or to any public vehicular or public pedestrian access:routes within
the Project allowing entry into and exit from Town Square [except in emergency
situations], erect any building or structure of any nature, without City's prior written
consent, or interfere with the permitted uses of Town Square by members of the public or
the City.
4. Covenants Running With the Land _Property Subject to Agreement: All of the
Property shall be subject to this Agreement. It is intended and determined that 'the
provisions of this Agreement shall run with the land and shall be binding.on all parties
having,or acquiring any right, title or intere,3i in.the Property or any portion thereof and
shall be for the benefit of each owner of any of said parcels or any portion of"said
property and shall inure to the beneft of and be.binding upon each successor in interest
of the owners thereof. Each and all of the limitations, easements, obligations, covenants,
conditions; and restrictions contained in this Agreement shall be deemed to be, and slIall
be ,construed as equitable servitudes, enforceable by any of the owners of any of the
Property against any other owner, tenant or occupant, of the Property, or any portion
thereof.
5. Indemnity. Grantor shall defend, indemnify, and.hold the City harmless of and
from any and all claims, liabilities, actions, causes of action, and damages for personal
injury and property damage;, including without limitation reasonable attorneys' fees,.
arbitration fees or costs and court costs, arising out of or related to the Grantor's uselof
the Easement described in Exhibit "B," or Grantor's obligations under this Agreement;
except to the extent that such claims, liabilities, actions, causes of action,, and damages
arise out of or related to the negligence or intentional acts of the City or any of its
employees,;agents, representatives, contractors, vendors, or consultants.

City shall defend, indemnify,, and hold the Grantor harmless of and from any and all
claims, liabilities, actions, causes of action, and damages for personal injury and property
damage, including-without limitation reasonable attomeys" fees, arbitration fees or costs
and court costs, arising out of or related to the City's use of the Easement described in
Exhibit "B, arising from and to the extent that such claims; liabilities; actions, causes of
action, and damages arise out of or related to the negligence or intentional acts of the City
or any of its employees,.agents, representatives, contractors, vendors,or consultants.
6. Attorneys' Fees. In the event that any party institutes legal action or arbitrati I on
against the other to interpret or enforce this Agreement, or to obtain damages for any
alleged breach hereof,.the prevailing party in such action or arbitration shall be entitled to
reasonable attorneys' or arbitrators' fees in addition to all other recoverable costs,
expenses,`and damages.
T Further Documents. The parties covenant and agree that they shall execute such
further documents and instructions as shall be necessary to fully effectuate the terms and
provisions of this Agreement.
8. Severabilitv. In the event any part or provision of this Agreement shall be
determined to be invalid or unenforceable under the laws of the State of'California, the
remaining portions of this Agreement that can be separated for the invalid, unenforceable
provisions shall,,nevertheless, continue in full force and effect. i
9. No Waiver. The waiver of any covenant contained herein shall not be deemed'to
be a continuing waiver of the same or any other covenant contained herein.
10. Amendment. This Agreement may be;amended in whole orin part only by mutual
written agreement. Any such amendment shall be recorded in Santa Clara County,
California. In the event any conflict arises between the provisions of any such
amendment and any of the provisions of any earlier document or documents, the most
recentlyduly executed and recorded amendment shall be controlling..
