PURPOg~, In order [o provide an expanded ~nd varied proRram of or~;anized recrea[ianal ac[ivlties for the ci[izens of the CTTY, CITY has arranged with DIS'fRICT to use the Picche[ti Ranch and Fremont Older Ranch Properties, located in San[a Clara County raothills, adjacent to Che City of Cupertino, for a ' recreational Day Camp proRram consisting of proRrams such as arts and crafts, hikin~;, pic~iicking, games, sinRin~, nature study, swimminR, and carinR for farm animals, It is understood by both parties that the Picchetti and Fremont Qlder Ranch Proper[ies are~ semi-wilderness areas witti certain environmental hazards, such as uneven landscape, woo~ed areas, poison oak, wildlife and rat[lesnakes. CITY shall offer no programs [ha[, in the estimation of DISTRICT, have a ne~ative impact on the environment of the area, or in the fut4re use «f the Properties. In consideratIon of the mutual covenants and conditions contained herein, the par[ies a~ree as follows; L UISTR[CT a~rees to provide the nomexclusive use of the Picchetti Ranch without charge for use by CITY [o carry on a Day Camp proRram for Che benefit nf the citizens of the CITY. Said facility shnll be made available for [he uses intended durinq the times of 9:00 a.m, to 5:00 p.m. ~tonday throup,h Friday, June 29, 19$2 through pu~ust 31, 1982 Uses fe~r day camp 1/6 ~ ~ ' overnlFhts would occur on thc evenings of 7/21, 7/22, 7/23, 8/11, 8/12. S/13, H/18, 8/19, and 8/20/82. 2. Upkeep and maintenance of buildings, brid~;es, roads, pathways, u[ilities and other improvements un the property shall be c~rried out in such a manner as mny be muCUally understaod and a~reed between the par[ies from [ime to [ime, provided that no[M n~ herein shall be deemed to impose on DISTRICT and responsibility assumed by CITY in Paragrapl~ 8 hereof. 3. DISTRICT may desi~;nate certain areas unsafe or unusable [o CITY ' and restrict said areas from use. (See a[[ached map for areas designated as "closed".) ~ 4. CITY agrees to furnish and pay for all necessary supplies and mnterials directty rela[ed to the proeram, incl~ding utilities. I 5. CITY agrees to ohtain all necessary permi[s for fire, safety, ~ health, and other clearances required by local and State agencies. 6. CITY shall he responsible for all necess~ry or appropriate supervision and cantrol c,ver aQents and employees of CITY, par[i- cipants in the pro~;rnm, and other persons on the property at the invitation nf CITY or as a result of CiTY'S pro~;r~m. Responsibility • for supervision and con[rol shall include providing q~~nlified s[aff inembers and volunCCers to protect the tiafety of the participan[s and to promote, organize and conduct the various programs. 7. It is expressly understood nnd nFreed that this a~reement is no[ intended, and shall not be construed, Co create a relationship of 2/6 i • • a~ent, servanC, employec, partnership, Joint ven[ure, or association between DISTRICT and CITY, buC it is rather an a~;reement by and between independent contractors. Each is to be responsible for j i[s liabillties in [he areas of responslbill[y desi~nated by this ~ i a~reement. i I 8. CITY shall have the responsibility and bear primary liability for: ~ i,~ a) loc~[ing and iden[ifyinx any hazards, natural or manmade, on I the proper[y and calling such hazards to the a[tention of . participants in the pro~ram, and to persons on the property at the invit~tion of CITY, or as a result of CITY'S proqram. b) loss, damage or inJury [o participants in the pro~ram, nnd - [o persons on the property at the invita[Lon of CITY or as a result of CITY'S proy;r.~m, Erom any cause wha[snever, except [he willtul, wan[on or Fross misconduc[ of DISTRICT'S officers, agen[s or employces. c) loss of or dama~;e [o property of CITY or of par[icipan[s in the program, and [o persons on [he proper[y at the invi[ation of C[TY or as a retiult of CITY'S pro~ram, from any cause whatsoever, excep[ the willful, wan[on or ~ross misconduct of DISTRICT'5 officers, agents or employees. d) loss, damaFe or in~ury [o third persosn, including employees of DISTRICT, c~used by the ne~liFence or o[her wronRful act or ~ omission of CITY, its officers, a~ents, employees, aupervisors or participants In the proFram. - ~ ~ i e) loss oP or datnage to property o[ thlrc•ersan5, includin~; property uf DIS'CR[CT and Lts employees, c;wsed hy the netillgence or i other wrongful act or omission of C1TY, i[s officers, agents, ~ ' ! employces, supervisors or particlp:~nts in [he proqram. ~ '~'o[hing herein shall be construed to impose on C1TY responsibility for any liability Cor which DISTRICT would otherwtse be respansible and which in no way attrihutable [o Che conduct of CITY'S prop,ram or ac[ivities under this I agreement. Persons on the property pursuan[ [o this agreemen[ shall be deemed to be on the property at the invi[a[ion of CITY and no[ of DISTRICT. 9. CITY shall carry liabili[y, property dama~e, death and bodily injury in~urance durinF the term of this aFreement c~~vering, amonF others, tne insurable risks set for[h herein, and D[STRICT shall be named as additional insured on said policy. Said policy shall be in the amount not less than five hundred thousand dollars per in~ury or dt:ach [o one person, five hundred thuusnnd dollars per occurrance, and one hundred thousand dollars property d~ma};e. CITY shall furnish DIS'PRICT a certiflcate of in~;urance evidenc{ng such insurance cover:~};e. 10.
