a RESOLUTION OF TtIE CITY COUNCIL OF THE CITY OF CUPERTINO
AMENDING POLICY NUMBER ONE (N0. 1) OF THE MANAGEMENT
COI~ENSATION PROGRAM
WHEREAS, the City Council desires to amend ±fanagement Compensation
Policy Number One (No. 1) Co include an updated listing of all positions
designated as either Management Positions or Confidential Positions; and
WkiEREAS, Policy Number One (No. 1) of the *fanagement Compensation
Program attached hereto as Attachment "A" and made part hereof, has been
amended to reflect this change.
YOW, THEREFORE BE RESOLVED by the City Council of the City of Cupertino
to approve and adopt *lanagement Compensation Policy Number One (No. 1), as
amended.

PROGRAM PURPOSE AND
DEFINITIONS FOR ELIGIBILITY
It is City oi Cupertino policy that those certain persons holding
positions hereinafter defined and designated either as management positions
or confidential positions shall be eligible for par[icipation under the
;lanagement Compensation Program as hereby adopted by action of the City
Council and as same may be amended or as o[herwise modified from time to time.
It is the stated purpose of this Management Compensation Program to
give recognition to and to differentiate chose ellgible employees from
represen[ed employees who achieve economic gain and other conditions of
employment through negotiation. IC is the intent that [hrough this pulicy
and those which are adopced or as may be modified or rescinded from time
co [ime such recognition may be given.
Eligibility for inclusion wi[hin this Management Compensation Program
is limited to persons holding positions as management or confidential
employees. These are as designated by the Appointing Authority and may be
modified as circumstances warrant.
As defined under Section 2.52.290 of the Cupertino Municipal Code,
a management employee is any employae having significant responsibilities
for formulating and administering City policies and programs, including
but not limi[ed [o the chief executive officer and department heads; and,
any employee having authority to exercise independent judgement to hire,
transfer, suspend, Lay oEf, recall, promote, discharge, assign, reward or
discipline other employees, or having the responsibil:ty to direct [hem,
or to ad,just their grievances, or effectively to recommend such action if
in conneccion with the foregoing, the exercise of such authority is not of
a merely routine or clerical nature but requires the use of independen[
judgement.
This same section of the Code also defines a confidential employee
as an employee who is privy to decisions of City management affecting employer-
employee rela[ions.
Although subject to change in accordance with provisions oE the Personnel
Code, the Eollowing positions have been designated either as management
