CC Resolution No. 3878 ~ . RESOLUTION N0. 3878 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO AUTHORIZING THE EXECUTION OF INDEMNITY AGREEMENT WITH VALLCO PARK, LTD., A LIMITED PARTNERSHIP WHEREAS, Vallco Park, Ltd., a limited partnership, has numerous lessees and Deeds of Trust clouding the title of lands to be dedicated to the City of Cupertino; and WHEREAS, the City requires such dedications for improvements of the Vallco Fashion Plaza; and WHEREAS, the City requires dedications sooner than such Deeds of Trust can be reconveyed to Vallco; and WHEREAS, there has been presented to the City Council an Indemnity Agree- ment by the developer in order that the City may adopt the dedications required and allow Vallco to process within three (3) months the release of the Deeds of Trust and/or lessor's interest; NOW, THEREFORE, BE IT RESOLVED that the Mayor and the City Clerk are hereby authorized to execute the agreement herein referred to in behalf of the City of Cupertino. C~iL~'•:. partnership, and the CITY OF CUPERTINO, a municipal corporation, (City). WHEREAS, as a condition of its Use Permit No. 6-U-73 for the ~ Vallco Reg~ional Shopping Center, City has required that certain areas , adjoining Wolfe Road, Vallco Parkway and Homestead Road be dedicated ~ to the City for public•street and utility purposes, and WHEREAS, a portion of said areas is situated within the premises • leased by Vallco to the Shell Oil Company, a portion of said areas is within the premises leased by Vallco to Four-Phase Systems, Inc., and portions of said areas are encumbered by various Deeds of Trust in fa~or of third party lenders and trustees, and, ' 6VHEREAS, the fee title to said areas, subject to said leases and Deeds of Trust, is owned by Vallco, and said Vallco is willing to.dedicate said portions to the City, subject, however, to the rights of the lessees under said leases, and, . . WHEREAS, the City will accept the undertaking of Vallco to satisfy and pay the costs of condemnation or purchase of the interest of the Shell Oil Company and Four-Phase Systems, Inc., and to obtain reconvey- ances of Deeds of Trust as required to clear the City's title to said areas, in lieu of immediate acquisition of the.interest of those lessees, , and, , WHEREFORE, Vallco is willing to provide said undertaking and to • clear said title upon reasonable conditions, NOW, THEREFORE, it is agreed by and between Vallco and the City as follows: ~ ~ . . 1. Upon conveyance to the City by.Vallco, by its underlying fee title to the pa.rcels desc.ribec~ on Exhibit A, at.tached Yiereto and incor- porated herein, subject to Deeds of Trust, the interest of the lessees under leases of record thereto, and,upon ~xecution of this Agreement b_y Vallco, City agrees that all conditions of said Use Permit No. 6-U-~73 for the dedication of the_land described on Exhibit A attached hereto znd incor~aorated herein, sha11 be deemed~satisfied. ~ 1. _ _ . ~ . • • - - . Vallco hereby agrees arid undertakes to hold the City harmless from, and to pay any and all costs of acquisition of the interest of the ~ Shell Oil Company and Four-Phase Systems, Inc. in and to the land des- cribed on Exhibit A, attached hereto and incorporated herein, including, but not limited to, reasonable attorneys' fees and costs incurred in connection with said acquisition, by either purchase or condemnation, .provided, however, that Vallco shall have the right to disapprove of , the purchase price or terms of any purchase which may be negotiated between City and said lessees, or either of them. 3.
