THIRD AMENDMENT TO AGREEMENT 1143 BETWEEN THE CITIES OF
CUPERTINO, LOS ALTOS HILLS, AND SARATOGA FOR PROFESSIONAL
CONSULTING SERVICES WITH CRAIG WHITTOM CONSULTING.
This Third Amendment to Agreement 1143 is by and between the City of Cupertino, a
municipal corporation (hereinafter "Cupertino"), the Town of Los Altos Hills, a California municipal
corporation, (hereinafter “Los Altos Hills”), the City of Saratoga, a California municipal corporation
(hereinafter “Saratoga”) and Craig Whittom Consulting, a Sole Proprietorship/Individual
(“Contractor”) whose address is 4053 Valente Court, Lafayette, CA 94549. Cupertino, Los Altos
Hills, and Saratoga may be referred herein collectively as “Cities,” and Contractor and the Cities will
be collectively referred to as the “Parties.” This Second Amendment to Agreement 1143 is made with
reference to the following:
RECITALS:
A. On August 12, 2025 Agreement 1143 (“Original Agreement”) was entered into by and
between Cities and Contractor for Contractor to negotiate on behalf of each City (Cupertino,
Los Altos Hills, Saratoga) multi-year Law Enforcement agreements between each City and
the Santa Clara County (SCC) Sheriff's Office.
B. On February 18, 2026, the Cities and Contractor entered into a First Amended
Agreement (“First Amendment”) to negotiate on behalf of each City (Cupertino, Los Altos
Hills, Saratoga) multi-year Law Enforcement agreements between each City and the Santa
Clara County (SCC) Sheriff's Office, with a term expiring July 31, 2026.
C. On April 8, 2026, the Cities and Contractor entered into a Second Amended
Agreement (“Second Amendment”) to negotiate on behalf of each City (Cupertino, Los Altos
Hills, Saratoga) multi-year Law Enforcement agreements between each City and the Santa
Clara County (SCC) Sheriff’s Office, with a term expiring July 31, 2026.
D. Cities and Contractor desire to modify the Agreement on the terms and conditions set
forth herein.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as
follows:
1. Paragraph 3.1 of the Agreement is modified to read as follows:
3.1 This Agreement begins on the Effective Date and ends on December 31, 2026 (“Contract
Time”), unless terminated earlier as provided herein. The Cities mutually and collectively may
extend the Contract Time through a written amendment to this Agreement, provided such
extension does not include additional contract funds. Extensions requiring additional contract
funds shall be approved by the Cities mutually and collectively.
Exhibit B to the Agreement is replaced with Exhibit B-1, attached hereto

2. Except as expressly modified herein, all other terms and covenants set forth in the
Agreement shall remain the same and shall be in full force and effect.

EXHIBIT B-1 – SCHEDULE OF PERFORMANCE
Contractor Craig Whittom Consulting shall begin performing work outlined in the Scope of
Services immediately upon the contract execution.
All work between contract execution and October 23, 2025 may be completed remotely.
Between October 23, 2025 and November 30, 2026, contractor Craig Whittom Consulting shall
be available for in-person meetings as needed.
Project shall be completed by December 31, 2026.
