SECOND AMENDMENT TO THE GRANT FUNDING AND
LICENSE AGREEMENT BETWEEN THE CITY OF CUPERTINO
AND THE CUPERTINO HISTORICAL SOCIETY
This Second Amendment to the Grant Funding and License Agreement between the City of
Cupertino, a municipal corporation (hereinafter "City") and the Cupertino Historical Society, a Non-
Profit public benefit corporation (“Historical Society” or “Grantee”) and is made with reference to
the following:
RECITALS:
A. The City and Grantee entered into the Agreement (“Original Agreement”) for the City
to provide grant funding to the Historical Society and to allow the Historical Society to make
use of the portion of the Quinlan Community Center (“Quinlan Center” or “Property”), with a
street address of 10185 North Stelling Rd, Cupertino, CA 95014.
B. On July 3, 2025, City and Grantee agreed to the First Amendment to continue to
provide grant funding to the Grantee and allow the Grantee to make use of the portion of the
Property.
C. The Original Agreement and First Amendment are collectively referred to as the
“Agreement” unless otherwise indicated.
D. City and Grantee desire to modify the Agreement on the terms and conditions set forth
herein.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as
follows:
1. Pursuant to Section 2 of the Agreement, the City exercises its right to extend the term of this
Agreement through June 30, 2027 (“Extended Term”).
2. Section 8 of the Agreement is modified as follows, under the Contractor Project Manager
paragraph:
Contract Project Manager. Subject to City approval, Grantee assigns Bruce Parsons as its
single representative for all purposes under this Agreement, with authority to oversee the
progress and performance of the Grant Project. City written approval is required prior to
substituting a new representative.
3. Section 9 of the agreement is modified as follows, under the To Grantee section:

4. Except as expressly modified herein, all other terms and covenants set forth in the
Agreement shall remain the same and shall be in full force and effect.
