GENERAL TERMS AND CONDITIONS.
Hold Harmless. Contractor agrees to save and hold h~irmless the City, its officers, agents and employees from any
and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the
performance of this Agreement. City shall not be liable f~~r acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or :cex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed
to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations
in executing this Agreement. Contractor certifies that rio one who has or will have any financial interest under this
Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes
or variations of any kind are authorized without the written consent of the City.

Dear Bob,
We are pleased to submit the following scope of work and fee proposal for an assessment
study of the existing Cupertino Sports Center, for the purpose of helping the City make a
prudent decision rcgar-din.g the future re-use or replacement of this facility.
The Cupelrtillo Sports Center was originally built as a private racquet and restaurant club
in the tnid-','0's. In 1990, the city boubht the facility and turned it into a public
racquct/sports facility for which they cl~z:rge fees. It has been a success in terris of tennis.
but is otherwise limit^,cl by the conditions of the facility.
The building has 15,000 sf of area on two levels, with the entry being at around the
midpoint between the two levels. Tl~e tennis courts are below the parking level. There is
also a very small swilrming pool, which is used primarily for lessons.
Sevc;ral years ago, a proposal was put forward to tear the building dovrn and build a new
center on this site, which is immediately adjacent to our new senior center o.u Stephens
Creek Blvd. However, the costs appea.*ed to be considerable, and the council had other
priorities Iike the senior center and plopased library.
Our current scope will look at three alterlaatives for the center.
Option 1: Ixisting Building
i~o only :hat renovation required to brinb the facility up to code, make it accessible,
and put it into good working order. !n this scenario, all o1'tJte spaces would remain
in their clln•ent configuration, with uses to remain aS they are today. For purposes
of this study, we need. each of you t« do an assessment of the existing conditions,

and put together a report on *.hosr--, conditions, alo~tg with a scope of work required
to bring the facility up to code and working order. A few specific issues which were
raised when we met at the site are: listed below.
a. The roof was recently replaced and is in excellent condition.
b. The mechanical systems aze around 10 years old, and are in fzir shape. They
may be able to be repaired, lout may also require replacemez:t.
c. The plumbing is a mess. Tr ere have been leaks in the :doors and walls from
bad pipes. I didn't check if `here are fire sprinklers installed or not.
d. The electrical is very prob]ematic. ?he lights for the teruzis courts are tied into
the main systen~ fur the buiIciing, and there have been problems.
~• Accessibility is a real issue. They put ir. a makeshift wheelchair Iift on tl~e
outside, but that is all they h,3ve for access between the two ~~oors cf the
building. They have retrofitted one restroom on the top flour as a unisex HC
toiler, but the downstairs loc:cer rooms ate not accessible at alI. I've already
said that I believe we will need to add a ramp at the entry, designated hIC
parlciug spaces, and an elcva7:or in the building to connect the floors.
f. There was some seismic r~tro~t work dons at the time the city took or-er the
building, Last year, as part of that work, about half of the exterior deck /
tennis viewing platform was removed. ~.s a result, the aerobics room has an
exit that goes out into thin ai:•! tie don't have drawings vf. the seismic
upgrade, and apparently, it w,3sn't done tIuougl, the permit process. However,
Jim knows a lot about it, and should be able to walk our structural engineer
through the areas that we:-e improved.
g. There are a number of coi:crete walls in the building, which otherwise appears
to be of wood frame construc•:ion.
h. Tl;c kitchen equipment ti~,•iil a]1 have to cone out, as sho~.~ld the bar, and that
area can ba used for storage. '?'he ice n~aehine needs to stay.
i. After the assessmei:ts and scope of i-zxprovemert study is complete, we need
to do a cost estimate on this o~~tion.
Option #2 - )existing Building Reconfigured
For this option, we need to idol; at haw tltc existing b~uiding could not only be
brought up to code and viability, but also how it could potentially be renovated in
order to better accoinn,odate the desired programs. Sonle poi,its relating to this
option are listed below.
a. The main area on the upper Level is t]ie original dining room and bar. They
would like to convert this area into a cazdiovascular and strength training
fitness cextter. The free weights azea will remain on the Iower level. Don
McCarthy, the du-ector of the cancer, has provided us with a Layout for the
proposed fitness center if moved to a new location on the upper level, which
would require some electrical remodel. They are particularly concerned to

know if any additional structural work is required in order to accommodate
this potential use.
b. The existing aerobics room would be converted to be a stretching room,
keeping the mirrors.
~• The existing kitchen area an~3 bar will come out completely, and that space
creatively mused.
d. They want to sec if we can rework the exit stair near the front entrance, in
order to expand the tennis office area.
~. At the Iower level, they want: to convert the first two racquetball courts (the
wall between them has already been mostly removed) into a new aerobics
studio.
f.. They want to look at turning the third racquetball court area into a drop in
child care room, l~inding 2 exits might bee a problem on this one.
g. The other two racquetball courts would remain iz1 this use.
h. The current fitness center would be converted as a full free weights area, with
an extension ofthe rubber Hoar.
i. The outdoor deck would be extended to its original configuration for viewing
of tennis.
j. We wil! prepare some sketch plans of this scP,eme, a~~d them ask each of you to
fol]ow up with a eonz:mentary on any changes in your proposed scope of work.
k. We then need a cost esti~riate for this option:.
Option #3: New Huilciing
In this case, we would propose demolishing the existing building, and replacing it
with a new 10,000 sf facility,
a. VVc won't draw up Anything ou this one, just do a written description in order
to get a cost estimate for com.p~arison proposes.
b. We won't need any consultant reports for this, just input from Davis Langdon
Adamson.
The end product of this work will be a written report with some drawn diagrams
addressing structural and ADA issues, and an initial concept for the proposed revisions
for option 2. Tl~e comparative cast estimates will be included ill the report. Once this is
cor:zpl~ted, we have included one presentatiozi to the appropriate group.
Our fee for this work will be $ZS,000 inclusive of 111 reimbursable expenses. This
include-s the fees for architectural wort; as ~NeII as the following sub-consultants:

We have not included any scope for landscape or civil irspeetions. Therefore, we will
not be able to assess the existing utility lines once they leave the building. Should this
also b~ desired; we can contact $T<F to do alz assessment, but this would be an additional
service.
Our goal is to have alI of this work cotr:.pleted and ready for presentation by the end of
October.
The work will be performed under the terms ofyour standard agreement, a copy of which
should be attached io this proposal.
