Ryder, Citl Clerk City of Cupertino 10300 Torre Avenue Cupertino, California 95014 Dear Mr. Ryder: At its regularly scheduled meeting of .7une 7, 1976, the Board of Supervisors authorized the Chairman of the Board to execute a Joint Exercise of Powers Agreement with the Town of Los Gatos, the City of Saratoga, the City of Aonte Sereno, the City of Cupertino, and the City of Campbell for planning a Fire Service Delivery System for the West Valley Area . Attached is a certified cosy of the agreement for execution by the mayor and return to the Board of Supervisors . Rains, Clerk Deputy Clerk bf Encl. ® An Equ a OpporbAlly Ertipl yr z ck. �1 • i JOINT EXERCISE OF POWERS AGREV4ENT FOR PURPOSES OF PLANNING A FIRE S ERV IC E ` DELIVERY SYSTEM FOR THE WEST VALLEY AREA OF SANTA CLARA COUNTY This' is a joint exercise of powers agreement among the Town of Los Gatos, the cities of Saratoga., Monte Sereno, Cupertino, Campbell, and the Board of Supervisors of the County of Santa Clara for the purpose of studying alternative means for providing fire protection to the West Valley area of Santa Clara County. At present responsibility for fire protection in the area is fragmented among several jurisdictions , noc as the result of an overall plan, but merely as an incidental consequence to the urban development of the area through incorporation of new cities and annexation of unincorporated territory to existing municipal- ities. Such fragmentation is inefficient in terms of a fire service delivery system and is confusing to the citizenry and to fire personnel responding under emergency conditions . IT IS AGREED between the parties as follows : 1. Purpose and Authority for Agreement . This agreement is made pursuant to Title 1, Division 7 , Chapter 5 (Section 6500, et seq. ) of the California Government Code which authorizes the joint exercise by agreement of two or more public agencies of any power common to them. The parties hereto possess in common the power to study, make recommendations , and implement a plan for providing more efficient fire protection service to the West Valley area of Santa Clara County. In exercise of that power the parties agree to conduct through a joint cooperative effort the study provided for herein. 2. Policy Board . A seven member Policy Board consisting of the m tyor of r_Bch ci.t,c which is a party to this agreement and two county supervises selected by the Board of Supervisors stall oversee the study. Alternates may be designated by the respective parties so long as such alternate is a member of the ISA AN party's governing body. This Policy Bogard shall meet within 36 d g days following execution of this agreement by all parties and shall select a chairman by majority vote of the- Board membership to preside over its meetings , All matters .relating to the con- tent and conduct' of the study shall be determined by the Policy Board. It is not intended by this agreement to create the Policy Board as a separate entity within the meaning of Government ^.ode section 6503. 5. Instead the Board is a policy forum through which the parties agree to channel their joint cooperative efforts. 3. Advisory Committee. Staff work necessary to perform the study shall be provided by a six member Advisory Committee con- sisting of the chief administrative officer of each party or his designated representative. Additionally, there shall be one representative each from the Saratoga Fire Protection District and the Central Fire Protection District to serve as ex officio, non- voting members of the Advisor} Committee, said members to be selected by their respective District Boards . The Advisory Com- mittee shall meet as needed to implement the Policy Beard 's work program by coordinating their respective staff efforts and by making mutually acceptable staff ars ignments . The chief adminis- trative officer or designated representative of the party whose representative is chairman of the Policy Board shall be chairman of the Advisory Committee. 4. Work Program. The Policy Board shall formulate and adopt a work program for the study which shall include but not be limited to the following matters : (a) Timetable for conduct and completion of the study; (b) Boundaries of the West Valley area to be studied ; (c) Alternative types of fire service delivery systems ; (d) Cost of desired levels of service as well as pay- ment methods and financial implications of the various systems ; (e) Legal steps necessary to implement the various systerns ; M Timetables^for implementation; h 1 S 1 (g) A recommended ]Fire Service Delivery Action Plan. 5. Meetings and Voting of Polio Board. The Policy Board shall meet on call of any member at a time and place determined by the chairman. Each member of the Board shall have one vote. There must be a quorum in attendance to conduct business and all issues, except election or removal of the chairman, shall be resolved by majority vote of the members present. The chairman must be elected or removed by a majority vote of the entire membership. 6. Staff Assistance and Employment of Consultants . Upon receipt of the Policy Board's work program the Advisory Committee shall develop a mutually agreeable plan for allocation of staff work among the respective parties . In the event sufficient staff or specialized expertise is not available, the Advisory Committee shall advise the Policy Board and may recommend that necessary consultants be employed. Clerical staff functions in support of Policy Board meetings (e.g. , minutes , correspondence, mailing of meeting notices) shall be the res?onsibility of the party whose representative is chairman of the Pcli.cv Board. Staff assigned to any duties hereunder shell continue to work under supervision of their employer and not directly or indirectly under supervision of eitber the Policy Board or the Advisory Committee. 7. Expenses of Study. It is understood that the respective parties will not be reimbursed for staff time provided under paragraph 6 above. However, it is recognized that some funding will be necessary in order to pay other study costs such as preparation of the final report, mailings , and consultant fees . Expenditure of additional amounts or for consultant_ fees may only b� authorized by the Policy Board after first receiving prior approval from eacb of the governing bodies of the respective parties . The total cost shall be shared by the parties in the same propor- tion as the population of their respective jurisdietkons bears to the estimated total population of the West Valley area proposed for study hereunder excluding the approximately 60,000 persons residing within the City of San Jose' . For purposes of this agreement the sharing ratios are deemed to be as follows: Party Percentage of total cost Saratoga 21.26% County 21.05% (unincorporated territory within study area) Campbell 20.49% Los Gatos 17.61% Cupertino 17.26% Monte Sereno 2.32% 8. County to be Fiscal Agent of Parties . Upon written request from the Policy Board the County of Santa Clara shall disburse from its own funds all amounts necessary to make the expenditures authorized under paragraph 7 above. In either instance payment in full of the amount billed shall be made within 40 days following receipt of the billing. All contracts for consultant services shall be entered into between the Board of Supervisors and the consultant but only upon request from the Policy Board and only after the consultant and the terms of the contract have been approved by the Policy Board. 9. Term. This agreement shall become effective upon execution by all the parties and shall remain in full force and effect for two years thereafter or until the Policy Board submits iLs recommended Fire Service Delivery Action elan to the governing bodies of the respective parties , whichever occurs first . Any party may terminate its participation hereunder by giving 30 days 1 4 written notice to a chairman of the Policy rd. Such terminating party shall be liable for its prorated share of study expenses through the date of termination. 10. Amendment. The terms of this agreement are not subjact to modification or variation by the Policy Board but may only be changed through written amendment of the agreement signed by the parties hereto.
