CONTRACT FOR PUBLIC WORK
CONTRACT made on October 18, 1974 by the CITY OF CUPERTINO, a municipal
corporation of the State of California, hereinafter called the City, and
} PACIFIC MAINTENANCE COMPANY, hereinafter called the Contractor.
IT IS HEREBY AGREED by the parties as follows:
1, The Contract Documents. The complete Contract consists of the
following contract documents: Proposal, Notice to Bidders, Specifications
for Contractual Janitorial Services, Fidelity Bond, Insurance Requirements,
Addendum 1, dated 1/2/74, and this Contract.
Any and all obligations of the City and the Contractor are fully set forth
and described therein.
All of the above documents are intended to cooperate so that any word;
called for in one and not mentioned in the other, or vice versa, is to be
executed the same as if mentioned in all of said documents. The documents
comprising the complete contract are sometimes hereinafter referred to as the
Contract Documents. In case of conflil.ct between the Specifications on the one
hand and this Contract on the other, the Specifications sh:3.11 prevail.

designated in, and in strict conformity •„itn, the PLins and 5pe-cif cations pre-
pared by the following named pe son: Directc,r or Public ,arks, .and adopted b%
the Cite, which Specifications are entitled, respectively, ')PW-12, Contractual.
Janitorial Services, and which Specifications are identified bv the signat,lres
of the parties to this Contract. It is understood and agreed that said tools,
equipment, apparatus, facilities, tabor, tran<-port�ition and :aaterial shall be
furnished and that said work shall be performed and Completed: as requir d in
said Specifications under the so-e direction and control of the Contractor, but
subject to the inspection and approval of the City, or its representative. Tile
City hereby designates as its repre�en:ative for the purpose o_ this Contract
the following named person: Director of Public korks.
3. Contract Price. The City agrees to pay, and the Contractor agrees to
accept, in full payment for the work above agreed to be done, the sum of
Six Thousand One Hundred Ninety-Four Dollars and Ninety-Six Cents ($6,194.96)
per year, subject to additions and deductions as provided inthe Contract Documents.
4. Disputes Pertaining to Payment for Work. Should any dispute arise
respecting the true value of any work done, or any work omitted, or of any
extra work which the Contractor may be required to do, or respecting the size
of any payment to the Contractor during the performance of this Contract, said
dispute shall be determined either by reference to the unit of prices, if appli-
cable, or in accordance with the agreement of the parties, or in accordance witn
the rules of the American Arbitration Assocz-_lion if the parties are unable to
agree.

Contract for Public Work
S. Permits: Compliance with Law. The Contractor shall, at his expense,
obtain all necessary permits and licenses, etc. , for the performance of the
work, give all necessary notices, pay all fees required by law, and ccomply
with all Laws, ordinances, rules and regulations relating to the work and to
the preservation of the public health and safety.
6. Extra or Additional Work and Changes. Should the City at any time
during the progress of the work require any alterations, deviations, additions
or omissions from tho Specifications or other Contract Documents, it shall have
the right to do so, aA the same shall in no way affect or made void the contracu,
out the cost or value thereof will be added to, or deducted from, the amount
of the contract price, as the case may be, by a fair and reasonable valuation,
which valuation shall be determined either by reference to the unit prices, if'
applicable, or in accordance with the agreement of. the parties, or in accordanc-e
with the rules of the American Arbitration Association if the parties are unable
to agree. No extra work shall be performed or change be made except by a written
order from the City, duly authorized by resolution of its governing body, and b.:
all agencies whose approval. is req,a�red by Law, stating that the extra or
change is authorized, and no claim for an addition to the Contract su,-: sli.'aIi "Ue
valid unless so ordered.
7. Termination, :Amendments or .�todificsations. This Contract : ay be
terminated, amended or modified, with the mutual consent of the parties. T,e
compensation payable, Jf any, for such termination, amendment cr modific..atiuns ,
shall be determined either b, reference to the unit price, if a . li�aabie, � r i .^
accordance with the agreement of ti,e parties, or in accordance ::_t:, the rules ___
the American Arbitration :Association if the parties are unable ree.
8. TerMination_for Breach,_ etc . If the Contractor should be idjud ;e_l ,,
bankrupt, cr if he should make a general assi.gn_^ent for the bene_it of his
creditors, or if a receiver should be appointed on account of his insolvency,
or if lie or any of his subcontractors should violate anv of the provisions of
the Contract, the City may serve written notice upon him and his surety of its
intention to terminate the Contract, such notice to contain t'ne reasons for suc:.
intention to terminate the Contract, and, unless .,rithin ten da_-s after serving
of such notice, such violation shall cease and satisfactory arrangements for
correction thereof be made, the Contract shall, upon the expiration of said ten
days, cease and terminate. In ttie event of any such termination, the Ci.ty s..�._
iMmediateiv serve written notice thereof upon the surety and the Contractor , crn_`

However, that if the surety within fifteen days after the serving upon it of nct

work and prosecute the same to completion by contract , or by any other method iz

by the City thereby, and in such event the City may, without liability for so
doing, take possession of, and u::ilize in completing the work, such materials,

9• Notice and Service Thercof. Any notice from one party to the other
under the Contract shall be in writing and shall be dated and signed either by
the party giving such notice, of by a duly authorized representative of such
party. Any such notice shall not be effective for any purpose whatsoever
unless served in the following, manner: a) if the notice is given to the City,
either by personal delivery thereof to the City Manager of the City, or by
depositing the same in the United States mails, enclosed in a sealed envelope,
addressed to the City, postage prepaid anc certified; b) if the notice is given
to the Contractor, either by personal delivery* thereof to the Contractor, or to
his duly authorized representative at the site of the project, or by depositing
the same in the United States mails, enclosed in a sealed envelope, addressed
to said Contractor at 388 :Martin Avenue, Santa Clara, California, postage pre-
paid and certified; and c) if the notice is given to the surety or any other
person , either by personal delivery to such surety or other person, or by
depositing the same in the united States mails, enclosed in a sealed envelope,
addressed to such surety or person, as the case -ma;: be, at the address of such
surety or person last communicated by him to the party giving the notice,
postage prepaid and certified.
10. Assi.gnmecit of Contract. Neither the Contract, nor anv part thereof,
nor -monies due or to become due thereunder, may be assigned by the Contractor
without the prior written approval of the. City.
ll. Insurance. The Contractor shall not c<s..^ence .7ork under this
Contract until he has obtained all, insurance required under this paragraph and
such insurance has been approved b: the City, nor shall the. Contractor allot
any subcontractor to co-rrnence work an his subcontract until all si-: lar insur-
ance required of the subcontractor has been so obtainer' and approved. The Con-
tractor snall furnish the City with satisfactory proof c?f the carriage of insur-
ance required, and there shall be a specific contractual liability endorsement
extending the Contra -ors coverage to include the contractual liability
assum-d by the Contractor pursuant to this Contract and particularl•; ilar,igraph 19
hereof. Any policy of insurance required of the Contractor under this Contract
shall also contain an endorsement providing that thirt-, (30) days ' notice must
be given in writing to the Citv of any pending change in the limits of liabil t:
cr of any cancellation or miodificativr, of the policy.

The Contractor shall takecut and maintain: durinv the life ot: this _

Itiorkmen's Compensation Insurance and Employer's Liability Insurance for all of
his employees employed at the site of the project and, in case any work i.s
sublet, the Contractor shall require the subcontractor similarly to provide
v-orfshen's Compensation Tnsurance and Emplover 's Liabilit•- Insurance for a1.1
of the latter's employees unless such employees are covered by the protection
afforded by the Contractor.
In signing this Contract the Contractor makes the follu ing,
certification, required by Section 1361 of the Labor Code:
"I ar aware of the provisions of Section 3700 of the Labor
Coat- which require every employer to be insured against liability
fa- workmen's compensation or to undertake self-insurance in
accordance with the provisions of the code, and I will comply
with such provisions before commencing the performance of the
work of this contract."

Re: Extension of Maintenance Contract
The City of Cupertino does hereby extend the Maintenance Contract as
provided in the Specifications DPW-12 under Special Requirements Section
No. 12, Option to Extend the Term of the Contract.
As stipulated in the above referenced section,, the renewal duration is
not to exceed one (1) year and wil' be in effect from July 1, 1975 through
June 30, 1976.
Further, as stipulated, preliminary notice having been given by the
City of Cupertino to extend the contract and notice of increase in the
contract amount having been given by the contractor, the contract payment
amount shall be amended as follows:
Contractural Services
City Hall - Six Thousand One Hundred and Forty-Three Dollars and Seven y-
six cents ($6,143.76) per year.
Addendum No. 1 - Wilson Park and Portal :Park Recreation. Buildings -
One Thousand Five Hundred Ninety Dollars and no cents ($1,590.00) each per
year.
The total contract amount for one year will be Nine Thousand Three Hundred
and Twenty-Three Dollars and Seventy-six cents ($9,323.76) , Addendum No. 1
inclusive.

Public Works Contract Dated October 18, 1974
Between the City of Cupertino and
Pacific Maintenance Company
The City of Cupertino exerc{.ses its right, under paragraph six of the
referenced contract to extend the amount of work to include the Recreation
Administration Building at McClellan Park. This additional work will result
in an additional cost of EIGHTY-SIX DOLLARS ($86.00) per month.
The above mentioned amounts will represent the entire consideration by
the City for the additional work and in no way will relieve the contractor
of previous requirements of the contract.
JOB DUTIES
1. Daily (3 times per week)
A. Vacuum all carpeted areas, sweep and mop floors, buff as needed.
B. Empty all trash, ash trays; dust furniture.
C. Sanitize rest rooms, acid bath rest room fixtures, sweep and mop,
clean mirrors.
D. Wash sinks in kitchen area.
E. Spot wash walls as needed.
F. Sweep all door mats, both inside and outside.
G. Fill all soap, towel and paper dispensers as needed using materials
furnished by the City.
H. Basement - empty all trash, ash trays; dust furniture.
2. Weekly
A. Wash tile floors.
B. Clean basement floors and stairway.
3. Monthly
A. Clean waste baskets.
B. Wash glass inside and out.
C. Vacuum all drapes throughout building.

A. In December, remove all refracting lens in light fixtures throughout
the building and clean thoroughly of bugs and other dirt.
