SE&LIM VARIOUS STREETS WITHIN THE CITY LIMITS
OF LIMERTINO FOR THE YEAR 1976-77
This is an agreement between the County of Santa Clara (County) , State
of California, and the City of Cupertino (City) to chip seal various streets
within the City of Cupertino, said r•.:reets being listed on Exhibit "A" which
is attached hereto and incorporated into and made a part of this agreement by
reference.
IT IS AGREED between the parties as follows:
1. Performance of Work and Materials. County shall provide all labor,
materials, and equipment required for chip sealing the streets listed on Exhibit
"A"; the number of applications shall be as listed on Exhibit "A". The County
shall remove all excess material from the streets and shall stockpile said
material in the vicinity of the .cork.
The City shall remove all stockpiled material and shall provide and
place all advance notices of work and shall provide and place all "No Parking"
signs.
2. City's Cost and Final Accounting. Upon Completion of the chip seal
project, County shall submit to City a final account of the total construction
cost based on labor and materials required to chip seal said streets listed on
Exhibit "A". Within thirty (30) days after receiving said accounting the City
shall pay to County said total construction cost. City's unit cost for chip
sealing shall be less than $0.04 per square foot.
3. Records and Accounts. County shall keep, � > '.,tain, and render available
for inspection by City or its authorized representatives records and books which
will provide a complete and accurate account of all costs, fetes, and expenditures
made by County on construction costs of the project.
4. Fold darmless. The City will save, keep, and bear harmless the
County and all officers, employees, and agents thereof from all damages, costs,
or eapenser , in law or ic. equity, that may at any time arise or be set up be—
cause of 1` xal injury or damage to property sustained by any person —
persons by r.,. -n of, or in the course of the performance of said work, or by
reason by any infringement or alleged infringement of the patent rights of any
person or persons, firm or corporation in consequence of the use in, on, or about
said work, of any article or material supplied or installed under this agreement.
Not withstanding the above, the County shall, wherever it is necessary, keep
and maintain at its sole cost and expense during the course of its operations
under this agreement such warnings, signs, and barriers as may be required to
protect the public. The provisions of the preceding sentence shall not impose
any liability upon the County and are for the express benefit of the general
public.
IN WITNESS WHEREOF, the parties have executed this agreement JUN 20 1977

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPEWTINO
AUTHORIZING THE EXECUTION OF AN AGREEMENT BETWEEN THE
COUNTY OF SANTA CLARA AND THE CITY OF CUPERTINO FOR
STREET MAINTENANCE PROGRAM, 1976--77
WHEREAS, there has been presented to the City Council an agreement by
and between the County of Santa Clara and the City of Cupertino calling for
the County to perform certain street maintenance work within City jurisdiction
under a cooperative arrangement; and said agreement having been approved by
the Director of Public Works and the City Attorney;
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Clerk are
hereby authorized to execute the agreement herein referred to in behalf of
the City of Cupertino.
PASSED AND ADOPTED at a regular meeting of the City Council of the City
of Cupertino this 2nd day of May 1977 , by the following vote:

Our office has reviewed the copies of the subject agreements transmitted
with your letter of April 17, 1975. We have no objections to these agree-
ments. However, please nc to that HUD regulations require that all lease
agreements for interim uses of land acquired ,vith the assistance of
federal grant funds must be submitted to our office for review and approval
prior to their execution. Failure to conform with this requirement in the
future could cause our department to have the unapproved executed lease
agreements invalidated.

This LEASE, made and entered into this 18th day of 1974,
by and between the CITY OF CUPERTINO, a municipal corporation of the State of
California, hereinafter designated as LESSOR, and WILLIM T. IVANCOVICH, herein-
after designated as LESSEE.
W I T N E S S E T H
That L_SSOR hereby leases unto LESSEE, and LESSEE hires from LESSOR for
agricultural purposes only, those certain parcels of real property more par-
ticularly described in Exhibit "A" attached hereto end {.ncor-
porated herein by reference, upon the following terms and conditions:
1. The term of the within lease shall be for seven and a half months (7-1/2)
commencing on January 21, 1974 and continuing to and including September 1, 1974.
2. LESSEE shall give LESSOR as compensation for said premises the
following:
a. The sum of THREE HUNDRED DOLLARS ($300.00) .
b. Said compensation shall be made_ in December, 'Q74 or
at such time as required by the LESSOR.
3. LESSEE shall not without prior written consent of LESSOR construct,
erect or place any improvements upon the demised premises. Any improvements
so constructed shall become the property of LESSOR at the -,ad of the term of
this LEASE.
4. LESSEE shall maintain, at his own expense, the leased premises in
good and safe condition at all times.
S. LEShE shall not assign this lease, or any interest therein, nor
let or sublet the whole or any part of the said premised without the written
consent of LESSOR.

6. LESSEE shall occupy, till and fn all. respects cultivate, prune, spray,
fertilize, irrigate and care for ,said preml es during the term of this lease
in a good and farmerlike meraer and perform any and all other worts necessary
in order to keep the leased premises and trees thereon in a good and producing
condition, without cost or expense to LESSOR, anj will not commit any waste
or suffer any waste to be done to said leased premises. It is understood and
agreed that LESSOR will incur no expense in connection with the maintenance,
operation, cultivation, irrigation, fertilization or other work necessary to
be performed on said leased premises in order that the same be maintained as a
producing orchard.
7. LESSOR shall not charge the LESSEE for the consumption of water used
for irrigating purposes.
8. LESSEE shall harvest all crops produced on said orchard, furnish all
labor and materials including boxes necessary theref.r, and arrange for the
sale of said crop without cost or expense to LESSOR.
9. At the expiration of the term of this lease, LESSEE shall peacefully
quit and surrender the premises in a clean and orderly condition subject to
approval of LESSOR.
10. LESSEE shall comply with all lawful requirements, all statutes and
ordinances of the City of Cupertino respecting the use of the demised premises
made by LESSEE.
11. LESSEE shall have and hold to his own use all products harvested
from the demised premises within the term of this lease.

13. LESSEE shall indemnify and hold harmless LESSOR, its officers,
employees and agents from and against any and all claims for injury or damage
to person or property, loss, damage and liability occasioned by, growing out
of, or arising or resulting from any act or omission to act on the part of
LESSEE, or arising from the use of the demised premises by LESSEE, or arising
out of the operation or maintenance or dangerous or defectire condition of
said premises.
14. LESSEE shall and will during the full term of this LEASE, and at
his own cost and expense, provide and maintain in such form and with company
or companies satisfactory to LESSOR a policy or policies of public liability
insurance as follows:
Public liability insurance in an amount not less than One Hundred
Thousand Dollars (5100,000) for injuries including accidental death,
to any one person, and, subject to the :,amp limit for each person, in
an amount not less than Three Hundred Thousand Dollars ($300,000) on
account of any one occurrence, and property damage lability irsurance
in an amount not less than Fifty Thousand Dollars ($50,000) . Provided
as follows:
a. LESSOR shall be named as an additional assured in any of said
insurance policies;
b. Said policy or policies shall not be cancelled unless and until
ten (10) days written notice of the intention to cancel is given
to LESSOR: and

(c) A contractual liability endorsewmt shall be added to each
insurance policy extending coverage to include the liability
assumed by LESSEE under Paragraph 13 above.
15. Each and all of the terms and covenants and conditions contained
herein shall be binding upon and inure to the benefit of the successors in
interest of LESSOR and LESSEE respectively.
