Subject : Homestead Road
Dear Mr. Finney:
In 1967 the County of Santa Clara and the Cities of
Santa Clara, Sunnyvale and Cupertino entered into an
agreement providing for the improvement of Homestead Road
between . 15 mile west of Mary Avenue and Lawrence Expressway.
The improvement has been completed.
The: responsibility for the operation, maintenance and
energy costs for the traffic signals and lighting at the following
intersections :
Homestead Road & Heron Drive
" & Stelling Road
to & Tantau Ave. -Quail. Ave.
it & Wolfe Road
it & Blaney Ave.
is now the obligation of the cities having jurisdiction.
The County of Santa Clara wil.l. continue to operat^, maintain
and pay the energy costs at the intersection of Homestead Road
and Sunnyvale-Saratoga Road.
It is .requested that the cities having jurisdiction over
these intersections notify the Pacific Gas and Electric Company

Since certain traffic signals on Homestead Road are located partially within
the City of Cupertino and the remainder within the City of Sunnyvale, it would be
desirable for the cities to enter into a cooperative agreement establishing a
cost sharing formula and method of operation and maintenance. Sunnyvale's
Traffic Engineer, Kr. Y. L. Yarborough, has discusses: this subject With you and
an interim maintenance procedure has been developed that should be kept in effect
until a formal agreement can be approved.
Betts cities employ the same traffic signal maintenance contractor and the
signals should be maintained and the costs apportioned as follows:

the Cost of safety lighting as well as traffic signal energy should be appor-
tioned on the same basis.
Until the final agreement is approved it will be the responsibility of each
city to bill the other the appropriate coat of operation and maintenance.
The temporary cost sharing formula is leased upon the number of street approaches
to an intersection located within each jurisdiction* this fotwula also could bn
used in the final agreement.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO AUTHORIZING
THE EXECUTION OF AN AGREEMENT BY THE MAYOR AND THE CITY CLEW WITH THE
CITY OF SUNNYVALE RELATIVE Tb TRAFFIC SIGNALS
WHEREAS, there exists along the common boundary between Sunnyvale and
Cupertino certain intersections where signal systems and appurtenant high-
way safety lighting has been established whereat there is joint jurisdiction
as to the various street approaches to these intersections; and
WHEREAS, Sunnyvale and Cupertino desire to provide for a common
control, operation, maintenance and repair of the traffic signals at said
intersections and desire to establish a method by which each City shall
pay its proportionate share of the financial responsibility for said common
control, operation, maintenance and repair, and
k'HEREAS, there has been presented to the City Council an agreement by
and between the CITY OF SUNNYVALE and the CITY OF CUPERTINO relative to
the maintenance and cost sharing of traffic signal systems at locations
of joint jurisdictions;
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Clerk
are hereby authorized to execute the agreement herein referred to in be-
half of the City of Cupertino.

1973 by and between the City of Cupertino, a municipal corporation of the
State of California, hereinafter referred to as CUPERTINO, and the City of
Sunnyvale, a municipal corporation of the State of California, hereinafter
referred to as SUNNYVALE.
W I T N E S S E T H
WHEREAS, there exists along the common boundary between CUPERTINO and
SUNNYVALE certain intersections where traffic signal systems and highway safety
lighting has been established whereat there is joint jurisdiction as to the
varioup street approaches to these intersections; and
WHEREAS, CUPERTINO and SUNNYVALE do mutually desire to cooperate and
jointly participate in the maintenance, repair and improvement of the traffic
signal systems and highway safety lighting and desire to specify herein the
terms and conditions under which said systems are to be maintained, r_:paired
or improved.
NOW, THEREFORE, in consideration of the covenants and conditions herein
contained, the parties hereto agree as follows:
SECTIO`: I
CUPERTINO AGREES:
1. To maintain and operate the traffic signal systems and highway safety
lighting enumerated below and to bill SUNNYVALE within thirty days of the end
of each calendar year and each fiscal year a sum equal to SUNNYVALE's propor-
tionate share of the actual cost of said mainten, .ce, repair or improvement
excluding any and all charges for administrative overhead assessments.

The proportionate share of maintenance costs will be determined in the
same ratio as the number of approaches to the intersection under each juris-
diction bears to the total number of approaches to said intersection.
2. To review with SUNNYVALE operation and timing of traffic signals
enumerated above and make changes in hours of operation and timing as may be
deemed necessary by mutual agreement of SUNNYVALE and CUPERTINO and in such
a manner that is consistent with sound traffic engineering practices.
3. To authorize maintenance or repair work by contract or City forces
above a total cost of $500.00 dollars only after written approval of the
Director of Public Works of SUNNYVALE or his authorized representative has
been obtained.
4. To reimburse SUNNYVALE within thirty days of receipt of billing
therefor CUPERTINO's proportionate share of the cost of maintenance and opera-
tion of the traffic signal systems and highway safety lighting as set forth
hereinafter in Section II, Article 1.
SECTION II
SUNNYVALE AGREES:
1. To maintain and operate the traffic signal systems and highway safety
lighting enumerated below and to bill CUPERTINO within thirty days of the end
of each calendar year and each fiscal year a sum equal to CUPERTINO's propor-
tionate share of the actual coot of staid maintenance, repair or improvements
excluding any and all charges for administrative overhead assessments.

SECTION III
IT IS MUTUALLY UNDERSTOOD AND AGREED:
1. Maintenance and repair of signal devices shall be pursuant to each
jurisdiction's agreement with Traffic Signal Repair Company and by said company
or such other person, firm or corporation with whoa each jurisliction shall
contract in the future for signal devices maintenance and repair. `•iaintenance
and repair of highway safety lighting shall be by City :_roes, provided that
it may by by independe,it contracts in the event either City enters into
contract for such after public bidding.
2. The cost, to be prorated between CUPERTINO and SUNNYVALE, shall be
as follows:
A. Traffic Signals:
1) Maintenance: The monthly service fee paid to Traffic Signal
Repair Company for each traffic signal system.

2) Rem: The cost of labor, materials and equipment provided

by Traffic Signal Repair Company to repair traffic signal units
where 'they become worn or defective from normal use.
3) Accident LEMe Repairs: The cost of labor, materials and
equipment provided to repair damaged traffic uignal units
:here no responsible party can be found to recompense either
City for such costs.
4) Electric Energy: The monthly energy charge billed for the
electrical energy supplied to traffic signal systems.
B. Highway Safety Lighting:
1) Maintenance and Repair: The actual cost of labor, materials and
equipment used or supplied in maintaining and repairing
luminaires in the highway safety lighting systems where they
become worn or defective from normal use.
2) Electric Energy: The monthly energy for the electrical
energy supplied to all luminaires in the highway safety
lighting system.
3. It is understood and agreed that neither Cupertino nor any officer or
employee thereof shall be responsible for any damage or liability occurring by
reason of a negligent or wrongful act or omission done by Sunnyvale under or in
connection with any work, authority or jurisdiction delegated to Sunnyvale under
this Agreement. It is also understood and agreed that, pursuant to Government Code
Section 895.4, Sunnvvale shall fully indemnify and hold Cupertino harmless from any
liability imposed for injury (as defined by Government Code Section 810.8) occurring
by reason of a negligent or wrongful act or omission done by Sunnyvale under or in
connection with any work, authority or jurisdiction delegated to Sunnyvale under
this Agreement.
4. It is further understood and agreed that neither Sunnyvale nor any
officer or employee thereof, is responsible for any damage or liability occurring
by reason of a negligent or wrongful act or omission done by Cupertino or in

under this AGRESNEWT. It is also understood and agreed that, pursuant to

5. This AGREEN'AT shall take effect on the date of execution and shall
continue in force until terminated by either party. This AGREEMENT may be
terminated by either party as of the commencement of any fiscal year upon
written notice being given to the other party at least 60 days prior to the
commencement of said fiscal year.
6. This AGREEMENT shall replace and supersede that certain AGREF'iENT
between the parties hereto executed by CUPERTINO on the 4th day of August, 1969
and by SUNNYVALE on the 18th day of August, 1969.
IN WITNESS WHEREOF the parties hereto have caused this AGREEMENT to be

AUTHORIZING THE EXECUTION OF AN AGREF-MENT BY THE MAYOR AND
THE CITY CLERK WITH THE CITY OF SLTN-i,VALE RELATIVE TO
X TRAFFIC SIGNAL MAINTENANCE
WHEREAS, there exists along the common boundary between Sunnyvale and
Cupertino certain intersections where signal systems and highway safety
lighting has been established whereat there is joint jurisdiction as to the
various street approaches to these intersections; and
WHEREAS, Sunnyvale and Cupertino desire to provide for a common
control, operation., maintenance and repair of the traffic signals at said
intersections and desire to establish a method by which each City shall
pay its proportionate share of the financial responsibility for said common
control, operation, :maintenance and repair; and
WHEREAS, there has been presented to the City Council an agreement by
and between the City of Sunnyvale and the City of Cupertino relative to the
