Harty Rom and Ernest Mock Lessee. 1. Descriltion of Premises: lassor leases to Lessee, and Lessee hires from Lessor, on the terms and conditions set forth in this Lease, the premises with the appurtenances, situated in the City of Cupertino, State of California, and described in Exhibit "A", which is attached hereto and incorporated herein by reference. 2. Disclaimer cf Warranty - Soil Zuitability: Lessor makes no warranty of the soil's suitability for growing the crops Lessee is authorized t� grow under this lease. 3. Existing Easements, Etc. : This Lease is subject to (a) all existing easements, se r.ri.tudes, licenses, and rights-of-way for canals, ditches, levees, roads, highways and tel.eg•raph, telephone, and electric power lines, railroads, pipelines, and other purposes, whether recorded or not; (b) the rights of other Lessees under any existing or future oil, gas, and mineral Lease or Le-uses from Lessor affecting the entire or any portion of the premises, whether recorded or not. 4. Entry by Owner: Lessee shall permit Lessor, and Lessor's agents and assigns, at all reasonable times, to enter the ?_eased premises, and to use the roads established on the premises now or in the future, for the purposes of inspection, compliance with the terms of this Lease, exercise of all rights under this Lease, posting notices, and all other lawful purposes. Lessee shall supply Lessor, and his agents and assigns, with keys .and other instruments necessary to effect entry on the premises. -1- 5. Utilities: Lessee shall pay for all water, gas, heat, light, power, telephone service, and for all other services supplied to the premises except as otherwise provided in this Lease. b. Condition of Premises: By entry under this Lease, Lessee accepts the premises in their present condition; and he agrees, on the last day of the term or on sooner termination of this Lease, to surrender the premises and the appurtenances, to Lesser with the land cleared of all trees marked except those specifically indicated on the attached Exhibit "B", topographic plan of the site, or as Lay be specified to remain by the City Engineer, and the soil to be reno- vated and disced in a level manner. Lessee further agrros to remove any and all property which he has installed from the premises. In connection with guaranteeing the performance of the provisions set forth in this paragraph, Lessee agrees to deposit the sum of FIVE HWDRED DOLLARS ($500.00) in cash with the City of Cupertino, to guarantee that the property will be cleared, renovated and disced following its use. 7. Term: The term of this Lease is for one (1) year, starting on January 1, 1972. , and terminating on December 31, 1972 8. Abandonment of Premises: Lessee shall not vacate or abandon the premises at any time during the term; and if Lessee does abandon, vacate, or surrender the premises, or is dispossessed by process of law, or .-Vlerwise, per- sonal property belonging to Lessee and left on the premises shall be kept for a reasonable time by Lessor, but in no event longer than fifteen (15) days after Lessor gives Lessee: notice to remove that property from the premises, after which time, if it has not been rn .J aimed by Lessee, it may be treated by Lessor as abandoned. 9. Holding Over: Any holding over after expiration of the term of this Lease, with the consent of Lessor, shall be treated as a tenancy from month to -2- month, at a rental of --Same as bid a month, and shall otherwise be on the terms and conditions specified in this Lease, as far as aTfli,_able. 10. Smog Control District Requirements: In the event that the Smog Control District requirements preclude the disposal of the existing trees to be removed by the method of open burning requiring their hauling from the site, the City agrees to reimburse the bidder $250.00 per acre towards the rent as described in Item 10 of this agreement. 12. Insurance Hazards: Lessee shall not use the premises, nor permit' others to use them, nor do or permit acts that will increase the existing rates of in- surance on the premises, or cause cancellation of any insurance policy covering, in whole or in part, the premises, or permit to be kept, used, or sold in or about the premises, any article that is prohibited by the standard form of fire insurance policies. Lessee shall comply with all requirements applying to the premises of any insurance agency or company, necessary for the maintenance cf reasonable fire and public liability insurance on the premises. 13. Use of Premises: The premises are leased to Lessee for the purpose of planting, growing, and harvesting flowers. Lessee shall not use, or permit to be used, any part of the premises for any purpose other than the purposes for which the premises are leased. All operations incident to this use of the premises shall b` carried on according to the best course of husbandry practiced in the vicinity. -3- b. 14. Waste: Lessee shall not commit, or permit others to cam it, on the }fin premises, caste, or a nuisance, or any other act that oz:uld disturb the gciet enjoyment of Lessor or any other tenant of Lessor on reserved or adjacent property. 15. Alterations: Lessrie shall not matte, or permit to be made, alterations to the premises, without first obtaining Lessor's written consent. lessee shall keep the premises free from any liens arising out of any work performed, material furnished, or obligations incurred by Lessee. 16. Compliance with Law: Lessee shall comply with all requirements of all governmental authorities, in force either now or in the future, affecting the premises, and shall faithfully observe in his use of the premises all laws, rules and regulations of these authorities, in force either now or in the future. The judgment of a court of competent jurisdiction, or Lessee's admission in an action or a proceeding against him whether Lessor be a party to it or not, that Lessee has violated any law, rule, of regulation in his use of the premises shall be considered conclusive evidence of the fact as between Lessor and Lessee. 17. Exculpatory Clause: Lessee agrees to keep Lessor free from all liability and claim for damages arising from any injury from any cause to any person, including Lessee, or to property of any kind belonging to anyone, in- cluding Lessee, while in, upon, or in any way connected with the leased premises, including the flooding of roads or neighboring lards because of improper or in- adequate drainage or escaping irrigation waters, during the term or any extension of this Lease, or any occupancy under this Lease. Lessee further agrees to take out and keep in force during the term of this Lease at his own expense public liability insurance in companies and through brokers selected by Lessor for protection against liability to the public arising -4 as an incident to the use of or resulting from any accident occurring in or about the premises. The limits of liability under this insurance are to be for amounts not less than Two Hundred Fifty Thousand Dollars 0250,000.00) for auy one person injured, five Hundred Thousand Dollars ($500,000.00) for any one accident, and One Hundred Thousand Dollars ($100,000.00) for property damage. These policies shall insure the contingent liability of Lessor and are to be placed with Lessor. Lessee has the duty to obtain a written obligation imposed on the insurance carriers to notify Lessor in writing before any cancellation of the insurance. Lessee agrees that, if Lessee does not keep the insurance in force, Lessor may take out the necessary insurance aaid pay the premiums. The repayment of the premium shall be part of the rental and payment shall be made on the next day on which rent becomes due. Lessee further agrees to take out and keep in force during the term this lease at his own expense proper and adequate workmen's compensation insurance. 18. Remedies of Owner on Default: If Lessee breaches this Lease, Lessor shall have, in addition to other rights or remedies, the right of reentry, after having given Five (5) days' notice, and the right to take possession of all crops , harvested or unharvested, a"d to remove all persons and property from the prem- ises; Lessor may store the property removed in a public warehouse or elsewhere at Lessee's expense and for his account. Lessor, at his election, shall become the owner of all crops of which he has so taken possession, without being obligated to compensate Lessee for them. If Lessor elects to reenter, as provided above, or to take possession under legal proceedings or under any notice provided for by law, he may (1) terminate this lease, or (2) from time to time, without terminating this Lease, relet the entire or any part of the premises fer such terms (which may extend beyond the -5- 2 term of this Lease) and at such rentals and other conditions as Lessor in his sole discretion deems advisable. Lessor also has the right to make alterations and repairs }_o the premises. On each reletting either Subparagraph (a) or (b) shall apply: (a) LA+ssee shall be immediately liable for payment to Lessor of (1) Lessor's expenses of reletting and making alterations and repairs, (2) the amount by which the rent specified in this Lease for the period of the reletting (up to but not beyond the term of this Lease) exceeds the amount agreed to by the new lessee to be paid as rent for the leased premises, and (3) all other indebtedness due under the Lease; or (b) At Lessor's option rents received by him from reletting shall be applied: First, to the payment of any indebtedness, except rent, due under this Lease from Lessee to Lessor; second, to the payment of expenses of reletting and of alterations and repairs; third, to the payment of rent due under the lease and •!npaid, with the residue, if any, being held by Lessor and applied in payment of future rent as it becomes due and payable under the Lease. If Lessee has been credited with rent to be received by reletting under the option in Subparagraph (a) above and the rent shall not be promptly paid to Less(— by the new tenant; or if the rentals received from reletting under the option in Subparagraph (b) above during any month are less than that to be paid during that mo;tth by Lessee under the Lease, Lessee shall pay the deficiency to Lessor. This deficiency shall be calculated and paid monthly. No reentry or taking possession of the premises by Lessor shall be construed as an election by him to terminate this Lease unless written notice of such an in- tention is given to Lessee or the Lease is declared to be terminated by a court of' competent jurisdiction. Even though the reletting was without termination by Lessor, he may at any future tine elect to terminate the Lease for the previous -6- breach by bees. If Lessor terminates the lease for a breach, in addition to '. any other remedy he may have, Lessor may recover from Lessee all damages Lessor h: incurs by reason of the breach, including both the cost of recovering the premises and the worth, at the time of termination, of the excess, of the amount of rent: and charges equivalent to rent specified in this lease, for the remainder of the stated ter. J term, over the then reasonable rental value of the premises foz the remainder of wa the term. All of these amounts shall be immediately due from Lessee to Lessor. All of these rights shall be concurrent and cumulative and are in addition to, and not in derogation of, all other rights and remedies available to Lessor. Nothing contained in this Lease, and no security or guarantee of the Lessee that Lessor holds now or in the future under the Lease, shall. in any way con- stitute a bar or defense to an action by Lessor in unlawful detainer or for recovery of the premises. 19. Surrender of Lease Not Merger: The voluntary or other surrender by Lessee, or a mutual concellation, of this Lease shall not work a merger, and shall, at Lessor's option, terminate all existing subleases or subtenan.cies, or may, at Lessor's option, operate as an assignment to him of any or all subleases or subtenancies. 20. Assignment or Subletting: Lessee shall not assign this Lease, or any rights under it, and shall not sublet the entire or any part of the premises, or any right or privilege appurtenant to the premises, or permit any other person (the agents and servants of Lessee excepted) to occupy or use the entire or any portion of the premises, without first obtaining Lessor's written consent; pro- vided that Lessor shall not unreasonably withhold consent to assignment , sublease, or other transfer of use or possession of the premises. A consent to one assign- ment, subletting, occupation, or use by another person is not a consent to a -7- �e future assignment, subletting, occupation, or use by another person. An assignment or a subletting without Lessor's consent shall be void, and shall, ail Lessor's option, terminate this Lease. No Interest of Lessee in this Lease shall be assign- able by operation of law without Lessor's written consent. 21. Waiver: The waiver by Lessor of a breach of any term, covenant, or condition contained in this Lease shall not be treated as a waiver of such term, covenant, or condition, or as a waiver of a future breach of the same or any other term, covenant, or condition contained in this Lease. The acceptance of rent by Lessor shall not be treated as a waiver of a previous breach by Lessee of any tern, covenant, or condition of this Lease, other than the failure of Lessee to pay the particular rent so accepted, regardless of Lessor's knowledge of a previous breac: at the time of acceptance of rent. 22. Legal Effect: All covenants of Lessee contained in this Lease are expressly made conditions. 23.
