Burt Avery desires to acquire certain lands designated to be excess right-of-way when Mary Avenue is re-aligned; and WHEREAS, there has been presented to the. City of Cupert.inc an agreement in good and sufficient form to accorinlish the desires herein- above mentioned, said agreement to be en*ered into by L. Burt every and Marion Avery, the Stoneson Development Corporation, and the City of Cupertino; NOW, THEREFORE, BE IT RESOLVED that s.Xid agreement is satisfactory to the City of Cupertino; and BE I: FURTHER RESOLVED that the Mayor and the City Clerk he and are hereby authorized to execute said agreement. HURT AVRRY and MARION AVERY, husband and wife, hereinafter called "AVERY® the STONESON DEVELOPMENT COR- s PORATION, a corporation, hereinafter called STONESON", and the 4 lCITY OF CUPERTINO, a municipal corporation, hereinafter called the "CITY". WHEREAS: 1. The CITY and VALLEY TITLE COMPANY, a corporation, own that part of a certain existing public street known as Mary Avenue and identified as parcel 6 in Exhibit "A"s attached hereto and incorporated herein by reference, subject to the exceptions shown in the preliminary report of VALLEY TITLE COMPANY, Appli- cation No. 150994, dated April 6, 1971, a photocopy of which is attached hereto, marked Exhibit "X", and made a part hereof by reference. 2. The CITY wishes to realign Mary Avenue to a new location encompassing parcels 5 and 1, as identified in Exhibit "A 3. STONESON own parcels 1 and la, as identified in Exhibit "A", subject to the exceptions shown in Exhibit "X", and wishes to retain as much property as possible for future fi use after the proposed realignment of Mary Avenue. 4. The STATE OF CALIFORNIA owns parcels 2, 3, 4 and s .�, as identified in Exhibit "A", subject to the exceptions i shown in the preliminary report of VALLEY TITLE CO1wPANY, Application No. PA-47566, a photocopy of which is attached hereto, marked Exhibit "Y", and made a part hereof by references and has expressed willingness to said property to the CITY, 5. AVERY is the owner of property contiguous to, and east of, the "existing Mary Avenue alignment", designated • parcel B. and wished to add to his existing property the parcels identified as 3, 6, and la in Exhibit "A", and upon completion of the proposed Mary Avenue realignment; IT IS HE:SY AGREED AS FOLLOWS: A. The CITY shall sell to AVERY the real property identified as parcels 3 and 6 in Exhibit "P ", and more fully 6'- described in Exhibits "E" and "H% which are attached hereto and made a part hereof by reference, for the sum of One Hundred Thirty Thousand Dollars ($130,000.00) , payable from AVERY to + CITY on the date of close of escrow as hereinafter set B. The CITY agrees to transfer to STONESON the property identified as parcel 2 in Exhibit "A", and more fully described in Exhibit "D", which is attached hereto and made a part hereof by reference, and STONESON agrees to transfer to the CITY the property identified as parcel 1 in Exhibit "A", and more fully described in Exhibit "B", which is attached hereto and made s part hereof by reference. STONESON further agrees to transfer to AVERY the property identified as parcel la in Exhibit "A", and more fully described in Exhibit "C", which is attached hereto and made a part hereof by reference. C. This Agreement is conditioned upon the following: 1. That the STATE OF CALIFORNIA sell to the CITY the property identified as parcels 2, 3, 4 and 5 in Exhibit "A", attached hereto, and described in Exhibits "D"r "E"t � r"F" and "G" attached hereto and made a part hereof by reference, for the sum of One Hundred Thirty Thousand Dollars ($130, 000.00) , payable from the CITY to the STATE OF CALIFORNIA on the date of close of escrow as hereinafter set forth. 2. That AVERY shall deposit in escrow the sum of One Hundred Thirty Thousand Dollars ($130, 000.00) with VALLEY TITLE COMPANY, 616 Ramona, Palo Alto, California, hereinafter called "escrow holder". AVERY shall instruct the escrow holder to allow the CITY to use within escrow Che funds deposited for the purchase of said property in order to purchase the property from the STATE OF CALIFORNIA. 3. AVERY's ability to secure the right, under applicable zoning and land use laws, regulations and or6inances of the CITY, including site and architec- tural approval, to construct up to sixty-nine (69) multiple family units on the property to be acquired from the CITY, as described in paragraph At above. Said property shall be developed in connection with contiguous property presently owned by AVERY, for which authorization has been secured to construct four hundred forty-eight (448) multiple family units at a density of sixteen (16) units per acre. AVERY shall file the documents and pay the fees necessary to obtain the change. If AVERY has proceeded with reasonable diligence but has not obtained a final determination by the time scheduled for closing, the CITY may extend the time for closing until a final determination, provided AVERY is diligently pursuing a determination, The CITY may terminate. this Agreement on thirty (30) days written notice if AVERY is not diligent in pursuing a determination. If a final determination is adverse, AVERY alone shall have the election either 'to terminate this Agreement or to waive this condition. AVERY shall make his election in writing within fifteen (15) days after final determination. If AVERY fails to give notices his silence shall terminate the Agreement. A determination shall be final when the City Council. has finally acted in the matter and any ordinances or resolutions adopted by it have beccae effective. The ability of the CITY successfully to initiate and conclude the necessary proceedings under the applicable provisions of the California Street and Highways Code to vacate the exiating public right of way on Mary Avenue, said right of way being identified as encom- passing parcel 6, on Exhibit "A", as described in Exhibit "H" attached hereto and made a part hereof by reference, and to secure from the owner thereof other than the CITY, without compensation, its interest in the underlying fee of parcel 6; PROVI'L';2D, that in connection with any street vacation proceedings, the CITY may reserve and/or AVERY will dedicate an ease- ment for public utilitic-, storm drains, and sanitary sewer lines within the bou:-ds of Mary Avenue, as described in Exhibit "J" attached hereto and made a part hereof by reference. D. AVERY further agrees to complete at his expense the necessary public improvements for the proposed Mary Avenue realignment in accordance with the plans and specifications marked Exhibit "K", attached hereto and made a part hereof by reference, and to execute all contracts and other documents required by the CITY to complete said improvements . AVERY further agrees that the CITY may retain an easenent for public roadway purposes over parcel 6, pending the completion of the realignment and improvement of Mary Avenue E. The CITY shall pay for all closing costs incidental to the transfer of the properties to be conveyed or transferred under this Agreement. F. G. AVERY shall pay for title insurance on all properties to be conveyed or transferred under this Agreement. H. It is the intent of the parties that all of the transfers of money and of property be accomplished in one close of escrow, after the conditions set .forth in paragraph 2, above, have been met. Close of escrow shall be on or before ninety (90) days from this date, subject to the rights of the CITY to extendA. said cicsing date for three (3) successive periods of thirty (30) days;, I. Failure of the parties to fulfill the conditions set forth in paragraph C. above, shall terminate this Agreement without liability on any party hereto, and all of the parties shall be restored to their original positions. Notices shall be addressed as appear: below for the respective party, provided that if any party gives notice of a change of name or address, notices to the giver of that notice sha11 thereafter be given as demanded in that notice.
