Ryder , City Manager City of Cupertino 10300 Torre Avenue Cupertino, Calif orr,ia 9.5014 Dear Sir: I have approved the documents enclosed in your memorandum of July `_ :n the _,ratter of communi- cations consultant I have so affixed my signa- ture . yours very truly , 8aM J,' An e r s o n _JA: as 7-�n C . i r tr4.' i This Agreement, entered into this 3rd day of AgMt 1970 by and between the City of Cupertino, California, hereinafter referred to as First Party, and Gr$£fenhagen-Rroeger, Ysc. , management consultants, herein- after referred to as Second Party; WITNESSETH Whereas, First Party desires professional consulting assistance in the recruitment and selection of a City Manager and Whereas, Second Party has rendered similar service to numerous other municipal governments, and is skilled in such service, IT IS HERESY MUTUALLY AGREED AS FOLLOWS: 1. Second Party agrees to meet with the City Council and to determine the general and specific requirements for the City Manager position. 2. Second Party agrees to examine the organization and operation of the Cupertino City governm>>nt to the extent necessary to relate City requirements to City Marxaber candidates. 3. Second Party agrees to develop lists of persons to be contacted directly as highly qualified for the position of City Manager. 4. Second Party agrees to .,evelop informational material describing the City of Cupertino, the requirements for the position, and the general employment conditions. 5. Second Party agrees to review all applications generated by the Second Party through advertisements placed by the Second Party and all other applications filed directly with City. 6. Second Party agrees to conduct a thorough professional examination of personal and professional qualifications of all qualified applicants and partict -ly the personal reputation of top candidates recommended by Second for final consideration by the City Council. 7. Second Party agrees to propose not less than five, nor more than ten candidates believed by Second Party to merit serious consideration by First Party, said list to be presented no later than October 30, 1970. -2- 8. Second Party agrees to assist the City in the interviewing and final selection process as the City requires. 9. Second Party agrees to prepare and send letters to all applicants not selected for screening and, as arranged with the City Council, find letters to candidates not appointed. 10. First Parity agrees to pay to Second Party in full and complete payment for all services rendered under this Agreement by Consultant staff at the rate of Twenty-five Dollars ($25.00) per hour, plus travel and other out-of-pocket expenses and for necessary long distance telephone calls and for clerical service at direct cost. 11. The Parties understand and agree that total payments under this Agreement shall not exceed Three Thousand Dollars ($3,000.00), except upon any increase in the scope of the assignment, which may be set forth in a duly authorized amendment hereto. v 12. Executive Vice-President Approved as to Form By 446L.— --- ty Attorney .5 �r 3 1 AGREEMENT THIS AGlN',i3U{+iT, made and executed this 22nd day of March 1971_,, by and between the City of Cupertino, hereinafter referred to as First Party, `p and GSIFFV.MGEN-BR0E=, INC., management consultants, hereinafter referred to as Second Party; h WITNESSETH WHEREAS, First Party desires a classification of positions on the basis of their duties and responsibilities and seeks expert recommendations as to basic personnel forms and organization charts:, and 8 WHEREAS, Second Party has heretofore performed similar services for States, their political subdivisions and municipal corporations, and is skilled in such services; NOW, THEREFORE, in order to secure the desired classification plan, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS: 1. Second Party agrees to prepare basic personnel forms, to prepare, have printed, and distribute necessary quFstionnaires and instructions to be used in obtaining factual information needed to support findings and recomrendations. 2. Second Party agrees to hold meetings with department heads and such other individuals as First Party may designate to explain fully the purposes of the classification survey and answer all questions about the method of its conduct. 3. Second Party agrees to study each position in the service through an examination of written statements submitted on standard questionnaires by the employees and their supervising officers, and/or by first-hand investigation or observation of work performed and/or discussion with employees or their supervisors. 4. Second Party agrees to a. Prepare a tentative classification plan containing detailed class specifications and tentative allocation lists showing the class to which each covered position in each department is provisionally assigned; b. Provide copies of the tentative classification plan and departmental allocation lists to First Party. lei ' a c. Discuss with administrative staff and department supervisors tentative recovimendations so that there can be a reasonable understanding and agreement on the content of the classification plan and the allocation of individual positions; d. Prepare the final classification plan and recommendations for its installation and maintenance and submit 25 copies of said plan to First Party by May 1, 1971 along with 25 copies of each of the final departmental allocation lists. S. First Party agrees tn provide furnished working space, including local telephone service, and permit access to all reasonable information concerning the duties and responsibilities of all employees whose positions are included in the survey. 6. In full payment for all services detailed above, First Party agrees to furnish working quarters and local telephone service as heretofore pro- vided, and i.. addition agrees to pay to Second Party a sum of money in the amount of $3,400. 7. Subsequent to the filing of the final classification plan and at times to be mutually arranged between the Parties, Second Party agrees to provide one consultation in connection with the executive and legislative review of the total classification and its installation. 8. In full payment for any consultation services beyond that specified in paragraph 6, First Party agrees to pay to Second Party $240.00 per day and travel and subsistence costs from San Francisco.
