This is agreement between the City of Sage .Joss, State of California,
hareim fter referred to as "San Jose", and the City of Cupertino, State of
California, hareeinaiter referred to as "O.Wrtino", to improve Bubb Road
between McClellan Road and Regwwt Road..
IT IS AGREED between the partied as follows:
1. Preparation of Plane and S2ercifications. Cupertino shall prepare
and submit to San Jose for approval, pl, ms and specifications for the Im-
provement of Bubb Road 'between McClellan Road and Regnert Road. Upon approval
by San Jose, Cupertino shall advertise the project for bid and shall award
a contract to be supervised to completion by Cupertino.
2. San Jose's Share of Cost. Within thirty (30) days after approval
of said plans and specifications by San Jose, can Jose shall pay to Cupertino

the sum of TWELVE THOUSAND SP,`;T--4Q TInrOl ED SEWNT'Y DOLLARS (;12',770.(i:?) as r-ar,
Jose's full and final share of all. costs for said project.

3. Insurance. Cupertino shall require any contractor awardeO a con-
tract for any portion of the project to sec,.irc- and maintain in full force
and effect at all times during the construction of the project and until
the project is accepted by Cupertino, public liability satisfactory and
acceptable to both Cupertino and Izan Jose, insuring Cupertino and San Jose
and their respective officers and employees from and against any claim, loss, ti
liability, cost or expense arising out of or in any way connected with the
construction of the project.
The aforementioned policy shall contain a provision that the insurance
afforded thereby to rupertino and San Jose and their respective officers and
employees shall be primary insurance to the full limits of liability of the
policy and that if Cupertino or San Jose or their respective officers &ad
employees have other insurance against a loss covered by such policy that
other insurance shall be excess insurance only.
4. Termination. This agreement ab*11 terminate on January 1, 1970,
if Cupertino has not awarded a contract for construction of the above des-
cribed project prior to that dates. In the event of" such a termination,
Cupertino 9",,: .1 refund to San ,lose all sums advanced under Pa!agraph 1 of
