Gentlemen:
This letter constitutes joint escrow instructions of Sutter Hill
Development Company as Buy:=r and the City of Cupertino as Seller
relating to the real property described in the grant deed which
is delivered herewith.
The purchase price of the subject property is 157, 00.00, which
amount is delivered to you 7,.erewitn for payment to the Se ler
upon the close of escrow. You are authorized to close the escrow
when you are able to issue your standard coverage title policy
insuring the title of the Buyer subject only to such future taxes
as may become a lien upon the property immediately following the
recordation of the deed. Any other exceptions to title must be
approved by the Buyer.
As a memorandum to this escrow with which you are not concerned,
it is hereby agreed that the Seiler will remove all above-ground
fixtures and other equipment relating to the existing water well
on the subject property.
There is no sales commission payable with rf_spect to this trans-
action. The parties agree to sh.,are all costs, including &.e
premium for title insurance, in accordance with customary practice
in Santa Clara County.
Please acknowledge your receipt and acceptance of these instructions
by signing and returning to each party one of the enclosed copies
of this letter.
The address of the Buyer is indicated on the letterhead. The
address of the Seller is as follows:

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO AUTHORIZING
THE EXECUTION OF AN AGREEMENT BY THE MAYOR AND THE CITY CLERK
WHEPEAS, there has been presented to the City Council an Agreement
by and between SUTTER HILL DEVELOPMENT COMPANY, a California corporation,
and the City of Cupertino for the purchase of certain real property owned
`-y the CUPERTINO WATER COMPANY, a municipal corporation, and located at
Homestead Road and Stelling Road in the City of Cupertino, County of Santa
Clara, State of California;
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Clerk are
hereby authorized to execute the Agreement herein referred to in behalf of
the City of Cupertino.

Gentlemen:
The following is a status report as of this date for the subject
project:
25-acre Apartment House Complex
A building permit has been issued on this project and construction
has commenced.
Estimated completion date - July 17, 1970
5-acre Commercial Development
Final construction drawings for the Albertson's food market and
6,200 sq. ft. of shop area have been submitted to the Cupertino
Building Department and have been approved for the issuance of a
building permit.
Bid opening date for the above plans - July 23, 1969
Estimated commencement of construction. - August 1969
Off-Site Plans, Fees, Easements, Dedications, Bonds, Etc.
The following fees have been paid and bonds have beer, submitted to
the City of Cupertino:
Checking and Inspection $ 1,359.00
Indirect City Expenses 205.00
Development Maintenance Deposit 120.00
Storm Drain Fee 25,239.00
One year Power Cost 365.40
Street Tree Fee 390.00
Map Filing Fee 20.00
$27,698.40

Labor and Material Bond and Faithful Performance Bond,
each in the amount of $29,300.00, for the construction
of the off-site improvements for the entire commercial
and apartment house development.
Agreements
The Off-site Improvement Agreement has been fully executed and
delivered to the City.
All necessary sanitary sewer easements have been granted tc the
Cupertino Sanitary District and the necessary improvement agreements
have been delivered to the District and accepted by their Board as
complete. The following fees have also been paia to the Sanitary
Sewer District:
Area Fees $10,139.54
Labor and Material Bond 3,600.00
Based on the status of the subject development as outline(i a'_.,ove,
we would appreciate it if the City Council would eli'minat,� the
condition, imposed upon the Parcel Map approval relating to the
service station., "that the building pen-nit for tiie service station
will not be issued until Albertson's "::.rivet and the adjoining market
are under construction." The present condition is causir.g a delay
in the closing of the transaction between Gulf Oil Corporation and
Sutter Hill Development Company and is costing ti,e latter considerable
expense as a result thereof.
