W I T N E S S E T H: 4; WHEMEAS Pacific is the owner 4.r possession of certain rights of way and ease- menus, hereirafter referred to as "Pacifies easement", and described as follows: 1. The right of way and easement granted by H. Aronsen and wife to Pacific by deed dated May 26, 1.927 and recorded in the office 3f the Recorder of the County of Santa Clara, State of California, in !'look 324 of Official Records at page 382; and The right of way and easement granted by H. Aronsen and wife to Pacific by deed dated Deceml;er 9, 1953 and recorded in the office of said Recorder in Book 2791 of Official Records at page 292; and V.'.-�,A.S Cupertino has acquired certain lands for street and sidcvalk purposes in 1:he City of Cupertino, County of Santa Clara, hereinafter referred to as "street right of way", and WHEREAS the street right of way occupies a portion of Pacific's easement aLd is subject to said easement which said portion is hereinafter referred to as "Area of Common Use", as shown on the map attached hereto marked EXHIBTIT "A" and hereby made a part hereof. NOW, THEREFORE, Pacific and Cupertino hereby mutually agree as follows: 1. Pacific hereby consents to the construction, reconstruction,maintenance or use by Cupertino and the public of said street right of way over, along and upon Pacific's easement in the Area of Common Use subject to Pacific's right and easement to use said Area of Common Use for all of the purposes for which Pacific's easement was acquired and to the terms and conditions herein contained. Pacific does not by this consent, and shall not be deemed tc, subordinate its right iL the Area of Common Use to any use which Cupertino or the public shall make of sold area. 2. Except as expressly set forth herein, this agrewent shall not in any say alter, modify or terminate any provision of Pacific's easement or the priority thereof over the title of Cupertino in said Area of Coon Use. Both Cupertino and Pacific shall use said Area of Common Use in such a manner as not to interfere unreasonably with the rights of the other. Nothing herein containe�i shall be construed as a release or waiver of any clam for compensation or damages which Pacific or Cupertino may nov have or may hereafter acquire resulting from the construction of additional facilities or the alteration of existing facilities by either Cupertino or Pacific in such a manner as to cause an unreasonable inter- ference with the use of said Area of Common Use by the other party. 3.
