We transmit herewith five copies of the agreeiwmt for
emergency water supply between Uie California Water Service f omany
and the Water Works of Manta Vista, Ltd.
It is our understanding that when and if the 'Watoer
Works of Monta Vista, Ltd. has occasion to take water from the
California VYater '>ervice Company in acconiance with the terns of
the hereinbefore mentioned agreement, t:ze regulator at the junc-
tion of the 18-inch and 8-inch distribution main to which the
connection has been made will be opened and the Monta Vista hater
_ Works will receive water a . whatever pressures may be present at
that time in the :18-inch transmission line, less frictior loss.
It is also naderstood that should the California Water
Service r'owpany or the Water Works of Monta Visa:►, Ltd. exercise
the right to terminate the agreement as provided in Paragraph 5
in less than 5 years from the date of the agreement, the party term-
inating the agreement shall pay to the other party said party►s pro
rata 112 share of the cost of making the connection.

ment to this office. Upon execution' two copies wil:'i be returned
to your files.

3. The obligation of the parties to supply water heremder
shall be limited to periods of enmergeency or shortage due to special
circumstances and nothing herein shall be deemed to constitute a
dedication of the water supply of either party to the service of the
territory of the other party or to constitute a commitment to supply
water to the other party as a regular consumer.
4. To compensate the party supplying water hereunder for its
costs of operation, any party receiving crater shall pay to the supplying
party a sun equal to fifteen cents (150) per 100 cubic feet of water
delivered hereunder, such payment to be made althin ten (10) days after
receipt of a bill. The amount of -water delivered shall be estimated
if conditions did not permit metered measurement, If power rates as now
in effect are hereafter changed, the rate of compensation herein provided
may be adjusted by mutual agreement of the parties,
5. This agreosent shall become affective as of May 1, 1953 and
shall continue in effect until terminated by either party upon not lose
than ninety (90) days$ written notices to the other.

Dear Mr. Damico:
We have received your proposal with reference to our "Agreement for Emergency
Water Supply" dated May 1, 1953. In view of the fact that the bi-lateral
efficiency contemplated by said agreement can be improved by the addition of
a supplemental interconn,sction which would permit you to more readil<,r exercise
your rights under emergencv conditions to take -friter from our system as set
forth in said agreement, we will install a connection into our 18 inch pipeline
in Stelling Road at a point where your new 17 inch pipelne running parallel
to Greenleaf Drive extended crosses under our 18 inch pipeline. Ne will make
the connection to our main and set a 6 inch meter. We will bill. you as a
contribution for 1/2 the cost of the 6 inch meter and you will provide for
the connection from the meter to your 17 inch line at your cost. We will
provide a gate valve on our side of the meter and would expect you to provide
one on your side.
This agreement is supplemental to and is subject to all of the terms and
conditions of said Agreement for Emergency Water Supply dated May 1, 1953.
Nothing herein shall be deemed to have changed the conditions pror-4di.ng that
any water taken here under is for an emergency or disaster of a military
nature and otherwise or to have increased the obligations therein contemplated.
This agreement shall at all times be subject to such changes or modifications
by the Public Utilities Commission of the State of California as said Con-ussion
may from time to time direct in the exercise of its jurisdiction.

AGREMENT FCR EMERGENCY WATER SUPPLY
THIS , made and entered into as of the day of
1961, by and between the CITY (W CUPERTINO, a municipal
is corporation, First Party, hereinafter sometimes referred to as "City",
and CALIFORNIA WATER SERVICE COMPANY a California corporation, Second
Party, hereinafter sometimes referred to as "California",
WITNESSETH:
WHEREAS, the parties hereto are each engaged in the supply of
water in the County of Santa Clara in contiguous service areas; and
WHEREAS, each party has its own water supply and under usual
and ordinary operating conditions neither party would have occasion to
purchase water from the other party; and
WHEREAS, in view of possible emergency or disaster of a military
nature or otherwise, the parties believe it is a wise precaution to arrange
for an interconnection of the water system of City with the water s -stem
in the Los Altos-Suburban District of California to the end that water can
be supplied by either party to th? other party upon a limited and emergency
basis;
NON, THEREFORE, for and in consideration of the premises and of
the provisions herein contained, it is agreed as follows:
1. The water system of City, formerly the water system of the
Hater Works of Monta Vista, Ltd. , is presently connected with the Los
Altos-Suburban District water system of California at Stelling Road and
Greenleaf Road in the City of Cupertino. The interconnection consists of
an 8 inch pipe with a 6 inch meter that may be readily adjusted to the
direction of water flow. The interconnection at Stelling Road and
Homestead Road and the interconnection at the Stelling Road well, formerly
leased to California, have been or will be physically removed and disconnected

by California.
2. In the event ther party shall require supplemental cater
for a limited period of time due to war, civil disaster, or a failure of
water supply due to power failure, mechanical failure of a pump or motor
or switchgear or the temporary sanding of a well or a pipe break, such
party shall have the right to obtain water from the other party on two
hourst notice and to the ::atent the supplying party is able to provide
such water in view of its circumstances and demands at that time. Nothing
herein shall be deemed to constitute a dedication of the crater supply
of either party to service the territory of the other party or to
constitute a commitment to supply water to the other party as a regular
customer. The obligation to supply water hereunder is limited to surplus
water above and beyond that required to service the needs of the supplying
party's regular customers and to a reasonable period of time to permit
the party being supplied to effect repairs to its own sources.
3. To compensate the party supplying water hereunder for its
costs of operation, airy part,,., receiving water shall pay- to the supplying
party for all water delivered in accordance with the supplying partycs
then effective regular taz-iff schedule, charges to be made only for months
in which water is actually delivered, such payment to be made within ten
(10) days after receipt of a bill. The amount of water delivered shall
be estimated if conditions do not permit metered measurement.
4. This agreement shall continue in effect until terminated
by either party upon not less than ninet;;- (90) days' written notice to
the other.
