CEREMONIAL MATTERS - PRESENTATIONS
2. Recognition of Santa Clara County Sheriff Laurie Smith, the Sheriff's Office, and the
Sheriff's Emergency Response Team (SERT)
Sheriff Laurie Smith gave an update on the bomb threat at DeAnza College. She
explained that public safety officials were notified about photographs of a person with
what appeared to be bombs and weapons. A search of his home uncovered those
materials, as well as apparent plans for an attack on the campus. In the interest of safety,
approximately 13,000 students were evacuated while the campus was searched. The
investigation is ongoing. She commended the two young women who had been involved
in making the initial call, as well as the San Jose Police Department for their follow-up.
Sheriff Laurie Smith inlrodueed Commander Dave Clifford, Capt. Jeff Miles, Watch
Commander Lt. Nancy Ludcke, and Lt. Pete Rode of the Santa Clara County Sheriff's
Office.
She explained that Cupertino contracts for public safety services with thc Sheriff's
Office. The city does not need a full-time emergency response team, or de~ective bureau,
but when there is a need for those special skills they are immediately available, and the
officers are fully trained and experienced.
The Council members and the City Manager offered their individual thanks and
appreciation for how well this incident was handled.
Mayor James read a proclamation honoring the Santa Clara County Sheriff's Office,
Kelley Bennett, and MJchelle Houde.
James said that there will be a community gathering to honor the SheriWs Department
Ms. Bennett and Ms. Houde, and the DeAnza College staff. Also, a scholarship fund has
been set up to benefit Ms. Bennett and Ms. Houde. It will be handled through the
Foothill-De.Anza College Foundation.

The City Clerk noted corrections to the minutes of Jan. 19: Council member Statton's
name should be deleted, duplicate text removed, and the word "new" be added to the
phrase about initiatives for 2000-2001.
Lowenthal moved to approve the minutes as corrected. Bumett seconded and the motion
carried 4-0.
16. Authorize staff to amend the FY 2000-2001 operating budget, add the pcrwanent full-
time position of Senior Civil Engineer in the Public Works Engineering Division and
allocate $35,000 from the FY 2000-01 CIP to fund the position, Resolution No. 01-035.
Lowenthal asked if the CIP is the appropriate place to budget this position, or should thc
money be mov~l to the operating budget. The city manager said it was very typical at the
entire cost of the capital project to shown, including staffing cOStS to manage the project.
Lowenthal moved to approve the item. Burnett seconded, and the motion carried 4-0.
17. Change order request to purchase and install a 72" Box Coast Live Oak at the Senior
Center for the Veteran's Memorial.
Lowenthal said he had expected to see a proposal for veterans' recognition at the Senior
Center, as opposed to the budget approval item tonight. Buroett agreed that he would like
more information.
Parks and Recreation Director Therese'Smith said that at the last meeting Council had
discussed three items: making a contribution to the memorial in Washington D.C., doing
something at the Senior Center, such as a tree or flagpole, and adding some public art at
the senior center. She had contacted the architect and landscape architect, and they felt a
flagpole would be redundant, since the one in Memorial Park can be seen from the Senior
Center. The public art would be considered as part cfa separate process. She put this
item on the agenda so a change order could be made to the contract before the senior
center landscaping was concluded. However, if the council wished to wait and see the
plans for this change, there would not be much cost difference.
Burnett said he didn't think the city could go wrong with an oak tree, and he had
confidence in the architects. He moved to approve item No. 17. Chang seconded, and the
motion carried 4-0.

18. Fee increases for group picnic areas and Blackberry Farm, Resolution No. 01-038.
Parks and Recreation Director Smith reviewed the proposed fee increases. It was notcd
that the new fees shown in the staff report were the same as the existing fees, but the
resolution attached to the staff report was correct.

Burnett moved to adopt Resolution No. 01-038 approving the fee increases. Chang
seconded and the motion carried 4-0.
19. Construction noise: application 04-SP-00, public hearing to consider modifications to thc
Cupertino Municipal Code. A Negative Declaration is recommended, and this item is
recommended for approval.
(a) First reading of Ordinance No. 1871, "An Ordinance of the City Council of the
City of Cupertino Amending Chapter 10.48 of the Cupertino Municipal Code
Regarding Community Noise Control."
Planner H Colin Jung reviewed the staff report, and said that the planning commission
recommends the following amendments:
1. Tighten up early morning construction hours and prohibit construction activities
on holidays.
2. Address the long duration construction activities of hired building contractors
without affecting sporadic work of homeowners and ranchers.
3. Increased penalty for code violation to create greater deterrence.
4. Clarify conflicting and confusing language.
5. Add specific limitations on construction deliveries and pickups.
6. Tighten up time restrictions on helicopter usage.
Director of Public Works Ralph Quails said that the Public Works staff did not agree with
the recommendation to change the workday construction start time from 7 a.m. lo 8 a.m.
He explained that the contractors like to get their employees, vendors and supplies on the
project site before the commute gets very heavy, to avoid scheduling delays and increased

costs. He said there are at least nine other cities in the county that still enforce the 7 a.m.
start time, and one uses 7:30 a.m. The exception process is fairly cumbersome.
Council discussed appropriate starting times, the feasibility of changing the schedule of
the enforcement staff so they are on duty by 7 a.m., and whether fines should be
increased. Quails noted that violation of this ordinance would now be a misdemeanor, so
fmcs have been effectively increased by a factor often.
Lowenthal moved to approve the ordinance as recommended by Planning Commission,
with the excepfon that the weekday start time shall r¢iiiain at 7:00 a.m. Burnett seconded
and the motion carried 4-0.
Burnett moved to approve a Negative Declaration. Chang seconded and the motion
carried 4-0.
The City Clerk read the title of the ordinance. Burnett moved and Lowenthal seconded to
read the ordinance by title only, and that the City Clerk's reading would constitute the
first reading thereof. The motion carried 4-0.
PLANNING APPLICATIONS
20. Review of Pinn Brothers application 05-TM-00 for a tentative map to subdivide a parcel
into two lots for an approved planned development; one lot for the residential use (46
condominium units) and one for the retail/office use at 19979-19999 Stevens Creek
Boulevard, APN 316-21-029. This item is categorically exempt, and it is recommended
for approval.
Planner I Peter C-illi reviewed the staffrcpon and site plan.
Burnett said housing is a critical issue for this community. The 6,000 sq. fi. of office in
this project will generate about 24 new workers, which will require about 16 dwelling
units. This development will provide 46 new housing units, so he was happy to support
it. James said she hoped that other developers would follow this example and help the
city with its housing/jobs imbalance.
Burner moved to approve the application per Planning Commission Resolution No.
6076. Chang seconded and the motion carried 4-0.

NEW BUSINESS
21. Determine pwcess to fill City Council vacancy created by resignation of John Statton.
The City Attorney reviewed the staff report, and explained that the council had 30 days
from the vacancy to either appoint a successor or call a special election. If thc election
were called today, it would have to occur in June. If they wait until Feb 13 or 14, the

election would take place in November. Having the election in November would save the
- city approximately $65,000. If the special election were called before then, it would occur
on June 5, and would cost approximately $65,000 since it would not be consolidated with
other elections. There are two other City Council seats also open in November.
Council concurred to continue this item to a regular adjourned meeting Tuesday, Feb. 13
and direct staffto prepare a draft resolution calling for a special election on Nov. 6, 2001.
They will also consider canceling the regular Feb. 20 council meeting at that time.
22, Authorization .to proceed with a General Plan Amendment and request rezoning to
accommodate additional office, retail, and residential development at Town Center
(bounded by S. De AnTa Boulevard, Rodrigues Avenue, Torre Avenue, and Pacifica
Drive).
Council member Lowenthal said he would abstain due to a potential conflict of interest,
since he owned property within 300 feet of the project area. He expects to terminate that
interest soon.
A video roll-in was shown. The proposed mixed-use development on 12 acres would
include 223,000 sq. ft. of corporate office space, 194 apartments, and 32,000 sq. ft. of
retail/comm~i~ial space with underground parking. Community Development Director
Steve Piasecki said the property is currently zoned for commercial office and residential
land use, and is within the Heart of the City planning area. It will be necessary to change
the General Plan and Heart of the City text will have to be modified related to
development intensity and height of buildings. The zoning will also have to be amended
to include retail, hotel, and residential land use components. He said that Council has had
two previous study sessions on this project. The applicant will be expected to address the
list of 19 conditions which are a result of those study sessions. Also, the applicant has
included additional housing in Phase II of his project area, and is willing to consider
additional hous'mg on site A-l, across the street, which had some housing but not as much
as could be provided if the parking is relocated. Staff expects it may be possible to
provide more hous'mg in the 7 acres not owned by this applicant.
Mr. Erve Conchs asked if there is anything the city can do to produce power for all these
new homes and businesses that are being added. Public Works Director Ralph Quails
said no. Santa Clara and Pale Alto have been in the business of pwducing their own
power for a long lime, but that opportunity has passed for Cupertino.
Applicant Deke Hunter reviewed the proposed Civic Park site plan and building
elevations in his PowerPoint slide presentation. He said this would only be a conditional
approval on Council's part and would allow them to investigate the feasibility of the
project. There will be trade-offs to consider, such as rental vs. for-sale housing, location
of library parking, etc. The intention is to provide a downtown that would be a nexus
between City Hall and City Center. The site plan reflects their vision of a downtown
which connects DeAnza Boulevard to the Civic Center/library. There will be over a haft-
acre park area with a history walk, water features, etc.

Anna Polm_a_n-.Black asked why so much of the city is being built up, and there will be no
open space left. It is getting too dense, and she asked council to save some space.
Piasecki said the half-acm park will be in addition to the open space that exists today.
James noted that the soccer field will also be retained since the new library location was
changed.
Chang said this developer has already created one outstanding building in the community
so the council knows he can deliver an exciting and aesthetically pleasing project. He
suggested consideration be given to other names, and said that perhaps Town Center is
still the best description of the new "downtown" feel to be created here.
Burnctt said he shared the concerns expressed by the citizens but people must adapt as
gracefully as they can to thc growing population and dynamic economy. He was very
concerned about existing and potentially worsening housing situation, and said it was
important that the council specify land use to get market rate and below market rate
housing. He was in support of the project, but wanted it to be housing neutral.
James said she understands the concerns about density and open space, and this project
goes a long way to address both of those. It begins to define a downtown, and she felt
this was a wonderful design. She also appreciated the fact that the developers welcome
comrmmity input. She agreed with Chang's suggestion about the future name of the
center.
Burnett moved to authorize staff to initiate a public hearing to consider amendments to
the general plan and the Heart of the City Specific Plan, subject to the conditions and
findings contained in the model resolution (Resolution No. 01-040). Chang seconded and
the motion carried 3-0, with Council member Lowenthal abstaining.
23. Amendments to the Municipal Code as they relate to Bicycle Routes and Lanes:
a) First reading of Ordinance No. 1872, "An Ordinance of the City Council of thc
City of Cupertino Amending Section 11.08.260 of the Cupertino Municipal Code
Relating to the Designation of Bicycle Routes to Delete Foothill Boulevard from
Stevens Creek Boulevard to McClellan Road and Bollinger Road from Klm Street
to De Anza Boulevard and Add Bicycle Routes on Miller Avenue from Callc de
Barcelona to Stevens Creek Boulevard.*'
b) First reading of Ordinance No. 1873, "An Ordinance of the City Council of the
City of Cupertino Amending Section 11.08.250 of the Cupertino Municipal Code
Relating to the Designation of Bicycle Lanes to Add Bicycle Lanes at Various
Street Segrnents."

seconded to read the ordinances by title only, and that the City Clerk's reading would

STAFF REPORTS
27. Staff report on traffic level of service (LOS) at Cupertino signalized intersections.
Public Works Director Ralph Quails reviewed the staff report and attachments which
came from the Valley Transportation Authority (VTA) Congestion Management Program
(CMP) 2000 Perforiiiance and Monitoring Report.
Quails said that within Cupertino, traffic conditions have improved from 1990 to 2000,
and the level of service at the Congestion Management Program (CMP) intersections has
improved from a year ago. There are no CMP intersections in Cupertino at a level of

service "E" or "F". Quails said that compared to other Bay area cities, and even other
regions of California, Cupertino is not experiencing serious traffic congestion. This may
be contrary to popular perception, but it is certainly not as serious as the traffic in other
cities or on state highways and county expressways. Quails said this also shows the
urgent need to continue the city's efforts in regard to tratTlc improvements on the street
system to allow for continued economic development, protect residential neighborhoods
from cut-through traffic, and insure that the city maintains or improves the current level
of service.
COUNCIL REPORTS
Council member Lowenthal con~atulated Mayor James on the excellent State of the City
address. He gave an update on The Union Pacific Trail and said that Cupertino is the lead on an
inter-city task force involving the cities of Los Gatos, Saratoga, Campbell, County of Santa Clara
Parks and Recreation, and the Valley Transportation Authority (VTA). Lowcnthal said there is a
citizen task force meeting on the alignment of Stevens Creek Trail. There was a walk-though
with staff last week on the San Thomas Aqnino/Saratoga Creek Trail. He also talked about the
Economic Development Team, and said that developer Deke Hunter was in one of those
meetings about a year ago when they talked about the need for a kind of downtown in Cupertino.
Council member Chang also offered his conl~atulations on the State of the City address, and
talked about several f~estivifies he had attended related to the Lunar New Year, including some
events at the Chinese School, the Chamber of Commerce lunch, a perforraance at Flint Center,
and a ravc-like dance at DeAnza College.
Bumett said most of his activity in January was related to the Association of Bay Area
Governments (ABAG), which is working a smart-growth scenario to predict growth into 2020.
Mayor James said that the Lunar Luncheon was held at Hong Fu Restaurant to celebrate thc
Chinese New Year and it was a great success. She talked about the fourth annual Chinese
Performing Arts of America perfo~sixance which is always outstanding, and this ycar's event also
included a p¢iformancc by a Flamenco dance group. James thanked the Cupertino Rotary and
the Cupertino Chamber of Commerce for hosting the State of the City luncheon. She also
mentioned that she was chair of the West Valley Mayor and City Managers this year, and had
changed the format so that thc luncheon was held in a different location in Cupertino each
month, which gives the city a chance to feature its restaurants and businesses. Some of the
locations will include Apple Computer, the Cupertino Senior Center, the Outback Caft,
Blackberry Farm, and Portal Software. She announced that Apple Computer is donating 9 IMacs
and the technology, training, and support system for them, for the new Cupertino Senior Center.

At 8:30 p.m., Council recessed to a closed session to discuss negotiations for purchase, sale,
exchange, or lease of rcal pwperty pursuant to Government Code Section 54956.8, regarding the
potential lcase of Compaq property for skate park.

ON NOV. 6, 2001, REQUESTING CONSOLIDATION WITH OTHER
NOVEMBER ELECTIONS, AND REQUESTING THAT THE
REGISTRAR OF VOTERS CONDUCT THE ELECTION AND
CANVASS THE VOTES
WHEREAS, November 6, 2001 is the date set by law for general election for two
seats on the city council and any city measure(s); and
WHEREAS, at this time the City Council wishes to call a special election to fill
the vacancy created by the resignation of Council mcunber John Statton; and
WHEREAS, Cupertino Municipal Code section 2.04.040 specifies that iF a
council vacancy will be filled by election, the election must be set for the next regularly
scheduled election date no earlier than 114 days from the election call; and
WHEREAS, November 6, 2001, is thc next regularly scheduled election date that
meets those requirements; and
WHEREAS, the city clerk is enjoined by law to take all steps necessary for the
holding of said election;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Cupertino:
1. That a general municipal election is called for November 6, 2001, to fill the two
city council seats now occupied by council members Don Bumett and Sandra
James.
2. That a special municipal election is called for November 6, 2001, to fill the vacant
seat formerly occupied by council member John Statton.
3. That the City of Cupertino requests that the Registrar of Voters of Santa Clara
County conduct the election and canvass the returns. The Registrar shall be
reimbursed for all costs incurred by said services.
4. That the City of Cupertino requests that said elections be consolidated with other

BACKGROUND:
One of the City Council's goals for fiscal year 2000-2001 is the annexation of the
unincorporated Garden Gate area to the City (Exhibit A). City and County planning staffs
have laid the groundwork by: 1) preparing and mailing the "Garden Gate Annexation
Answer Book" to all affected property owners and residents in mid-Januury, .',nd 2)
holding a neighborhood meeting for the same group on January 24, 2001.
The Annexation Answer Book had a postcard cut-out that allowed property owners and
residents to express their opinions about annexation to the City. To date staff has
received 91 cards of the 362 mailed for a return rate of 25%. With each postcard
representing the opinions of one or two persons, there are 83 persons 'in favor of
annexation and 56 against annexation.
Prezorting is a necessary first step before the City can consider an annexation of Garden
Gate. Prezoning allows unincorporated property owners to know in advance what the
City zoning regulatiolls will be upon annexation. A similar procedure was tbllowed for
the Rancho Rinconada annexation.
Staff will continue to infom~ and educate Garden Gate property owners and residents
about the process and all public meetings. Staff is currently developing information for
the City's website and encouraging as smooth a prezoning/annexatjon process as
possible.

Consideration of $250,000 contribution to the Santa Clara County Housing Trust
Fund
Recommendation:
Staff recommends the city council contribute $250,000 to the Santa Clara County
Housing Trust Fund from the in-lieu fee portion of the Affordable Housing Fund and
authorize the City Manager to execute the attached agreement.
Background:
The Santa Clare County Housing Trust fund has recently requested the city of
Cupertino participate Jn its fundraising efforts. The Housing Trust Fund, created by
the County Collaborative on Housing and Homelessness and the Manufacturing
Group-led Housing Leadership Council, has committed to raise $15 to $20 million
over a 24-month period. These fund~"~i~e to be allocated towards first-time
homebuyers assistance, affordable rental housing, and. homeless shelters and
services. Santa Clara County has already contributed $2 million to the campaign.
Other jurisdictions contributing funds include the cities of Campbell, Los Gatos,
Milpitas, Morgan Hill, Palo Alto, San Jose, Santa Clara and Sunnyvale. To date
$17,600,00 has been contributed to the fund from private donors, government
agencies, corporations and foundations. Of the $17,600,000, two-thirds of the
funding is from private sources with the remaining one-third being contributed by
public agencies.
Discussion:
The city has committed $1.6 million to the Cupertino Community Services (CCS)
development on the comer of Vista and Stevens Creek Boulevard, leaving a balance
of $700,000 in the Affordable Housing Fund. Staff anticipates a $800,000 shortfall
for the CCS development that could be 'funded from Affordable Housing Fund
balance. The proposed $250,000 contribution to the Housing Trust of Santa Clara
County will be restricted to use within the. city. of Cupertino and must be used within
six months of the execution of the attached agreement. CCS could apply for the
$250,000 Cupertino restricted funds and ah additional $250,000 since the Fund
currently has a $500,000 loan limit. It is possible the city may contribute additional
funds to the trust fund if the city is able to generate 20% tax increment funds from
the redevelopment project area.
Cupertino Housing Committee:
The Cupertino Housing Committee discussed the contribution at its February 8,
2001 meeting. Because of the late meeting, staff is unable to include the committee
recommendation and comments in the report. Instead, a verbal update of the
committee action will be provided at the city council meeting.

AGREEMENT BETWEEN THE CITY OF CUPERTINO
AND THE HOUSING TRUST OF SANTA CLARA COUNTY
THIS AGREEMENT is made and entered into as of February ~, 2001, by and between
the City of Cupertino (City) and the Housing Trust of Santa Clara County ("Corporation"), a
California nonprofit corporation.
RECITALS
A. The Housing Trust Fund of Santa Clare County (HTF) Endowment Fund ("Endowment
Fund"), an investment pool fund in which private corporations and public agencies
participate, has been created by the Fund for the purpose of establishing a revolving
loan fund and grant-making program to address the issue of affordable, available
housing in Santa Clara County.
B. On February 13, 2001 the City Council of the City of Cupertino approved a contribution
of $250,000 in Affordable Housing Funds to the Housing Trust Fund, herein known as
the Housing Trust Fund of Santa Clare County (HTF) Endowment Fund.
C. The City's Housing Mitigation Policy requires that the funds be used to implement
those policies contained in the Housing Element of the General Plan for providing
assistance in expanding, preserving, or improving the supply of Iow and moderate
housing in the City.
D. The City desires to increase, improve, or preserve affordable housing for persons and
families of Iow and moderate income in the City of Cupertino, by participating in the
Endowment Fund as specified in this Agreement.
E. The purpose of this Agreement is to set forth the mutual agreement of the City and the
Fund regarding the use of the City's Affordable Housing Funds through the
Endowment Fund.
In view of the above, the parties agree as follows:
SECTION 1 AUTHORITY AND STATUS OF CORPORATION
Corporation represents and warrants that the info.,~ation contained in this Agreement is true
and accurate to the best of its knowledge, and that it is a duly organized, validly existing
nonprofit corporation in good standing under the laws of its place of incorporation; that its
signatory to this Agreement is authorized by resolution, bylaws, or constitution of the
nonprofit corporation, currently, in full force and effect, to execute this Agreement on
Corporation's behalf.
SECTION 2 DEPOSIT OF CITY'S AFFORDABLE HOUSING FUNDS INTO
ENDOWMENT FUND
City agrees to deposit the sum of $250,000 into the Endowment Fund within 30 days after the
mutual execution and delivery of this Agreement.

SECTION 3 USE OF CITY'S AFFORDABLE HOUSING FUNDS BY
ENDOWMENT
3.1 Fund agrees that no fees will be charged to City's Affordable Housing Funds on
deposit in the Endowment Fund for administrative or overhead costs, including
but not limited to fundraising expenses. The sole administrative expenses
which may be charged to City's Affordable Housing Funds on deposit in the
Endowment Fund shall be as set forth in Section 6.
3.2 The Fund shall serve as the Endowment Fund's fiscal agent. Subject to this
Section 3.2, the City's Affordable Hous!ng Funds may be disbursed either as
loan or grant funds. The initial disbursement of the City's Affordable Housing
Funds from the Endowment Fund shall be used exclusively for one or more
projects that meet all of the following criteria:
3.2.1 Any such project must increase, improve or preserve affordable housing
in the City of Cupertino.
3.2.2 Such housing must be affordable to Iow or very Iow income households
as those te,,s are defined by the Department of Housing and Urban
Development as pertains to the San Jose Metropolitan Statistical Area.
3.2.3 The Fund shall use the City's Affordable Housing Funds to increase,
_. improve or preserve affordable housing for homeless individuals and
families, affordable rental housing and/or provide first-time homebuyers
assistance programs for persons and families of Iow or very Iow income
households, by methods of providing financial assistance that include,
but are not limited to, the methods set forth in California Health and
Safety Code Section 33334.2 (e).
3.2.4 Any. new or substantially rehabilitated housing that is developed,
financed or assisted, in whole or in part, with the City's Affordable
Housing Funds shall remain available at affordable housing costs to
persons and families of Iow or very Iow income households, as the case
may be, for the longest feasible time, but not less than (a) fifty (50) years
for rental units, or (b) thirty (30) years for owner-occupied units. The
Fund shall require the recording in the office of the County Recorder of
covenants or restrictions implementing this Section 3.2.4 for each parcel
or unit of real property subject to this Section 3.2.4, ~vhich covenants or
restrictions shall run with the land and shall be enforceable against the
original owner and successors in interest, by the City or the Fund.
3.2.5 There shall 'be no discrimination against or segregation of any person, or
group of persons, on account of race, color, religion, national origin,
ancestry, gender, marital status, sexual preference, or handicap status in
the sale, lease, sublease, transfer, use, occupancy, tenure or enjoyment
of any such project, or any part thereof, nor shall any recipient of the
City's Affordable Housing Funds, or any person claiming under or
through such person, establish or permit any such practice or practices

of discrimination or segregation with reference to the selection, location,
number use or occupancy of tenants, lessees, subtenants, sublessees,
or vendees of any such project..
3.2.6 The restrictions of this Section 3.2 shall apply only to the initial use of the
City's Affordable Housing Funds by the Fund. After the initial use of the
City's Affordable Housing Funds by the Fund, reinvestment of funds that
are repaid to or otherwise recaptured by the Fund shall not be subject to
this Section 3.2, but shall o~herwise assist affordable housing projects
through the Housing Trust Fund in accordance with the Fund's Articles of
Incorporation or bylaws.
3.2.7 The Fund shall refund to the. City any portion of the City Affordable
Housing Funds that have not been disbursed or contractually committed
to be disbursed in accordance with this Section 3.2 by the date that is six
(6) months after the mutual execution and delivery of this Agreement.
Provided the City's Affordable Housing Funds are disbursed or
contractually committed to be disbursed in accordance with this Section
3.2 within such six-month period, the Fund shall have no obligation to
repay any portion of the City's Affordable Housing Funds to the City.
3.3 All disbursements by the Fund shall be made with the advice and suggestion of
the Endowment Fund Steering Committee which has been fo[',~ed by the
Endowment Fund Initiative Committee and which includes two members of the
Santa Clare County Board of Supervisors. The Fund shall follow the
recommendations regarding disbursements rendered by the Endowment Fund
Steering Committee unless to do so would be a violation of law, this Agreement,
or the Fund's Articles of Incorporation Or Bylaws.
SECTION 4 INVESTMENT OF THE FUND
Fund shall hold, manage, invest and reinvest the Endowment Fund in accordance with the
"reasonably prudent person" standard.
SECTION 5 FINANCIAL REPORTS
5.1 Fund shall establish and maintain, in accordance with generally accepted
accounting principles, a complete record of all financial transactions related to
the Endowment Fund.
5.2 Fund shall provide City with quarterlY reports which shall set forth in detail all
financial transactions related to the Endowment Fund. Fund shall also provide
City with a copy of its audited report, prepared by independent certified public
accountants.
5.3 Fund shall provide City with a written report on the initial expenditure of the
City's Affordable. Housing Funds, including, at a minimum, for each project
assisted with City's Affordable Housing Funds, the following information:

location and description of the assisted project(s); number of units; rent or-sale
-- price and income
restrictions; and te,. of restrictions.
SECTION 6 ADMINISTRATIVE FEES
Fund may charge an annual administrative fee equal to one pement (1%) of the fair market
value of the Endowment Fund against the Endowment Fund. Fund may also charge against
the Endowment Fund reasonable bank fees. One-Twelfth (1/12) of the annual fees will be
deducted monthly. Fund shall report the fees 'charged against the Endowment Fund in its
quarterly and annual reports.
SECTION 7 NOTICES
Any communication or notice which either party is required to send to the other or which
either party desires to send to the other, shall be in writing and shall be either personally
delivered or mailed in the United States mail, postage prepaid, to the respective parties
addressed as follows:

Either party may change its address by sending notice of the new address to the other party
pursuant to this Section.
SECTION 8 COMPLIANCE WITH ALL LAWS
Fund shall comply with all applicable laws, ordinances, codes and regulations of the federal,
state and local govemments.
SECTION 9 MISCELLANEOUS PROVISIONS
A. The parties agree that this Agreement shall be govemed and construed in accordance
with the laws of the State of California. In the event that suit shall be brought by either
party to this Agreement, the parties agree that venue shall be exclusively vested in the
state courts of the County of Santa Ciam, or where otherwise appropriate, exclusively
in the United States District Court, Northern District of California, San Jose, California.
B. The headings of the sections and subsections of this Agreement are inserted for
_ convenience only. They do not constitute a part of this agreement and shall not be
used in its construction.

C. The waiver by any party to this Agreement of a breach of any provision of this
^greement shall not be deemed a continuing waiver or a waiver of any subsequent
breach of that or any other provision of this Agreement.
D. Any and all exhibits which are referred to in this Agreement are incorporated herein by
reference and are deemed a part of this Agreement. This Agreement may only be
amended by formal written agreement executed by both parties.
E. If a court of competent jurisdiction adjudges any provision of this Agreement as void or
unenforceable, the remaining provisions shall not be affected hereby and shall remain
in full force and effect; provided that construction of the agreement without the invalid
or unenforceable provision does not depdve the parties of the benefit of their bargain.
Where this agreement refers to City and no Officer of the City is named, the City Manager
shall have the authority to act on the City's behalf.

OF CUPERTINO AMENDING SECTIONS 2.88.010 AND
2.88.020 OF THE CITY'S ORDINANCE CODE MODIFYING
THE COMPOSITION OF THE AUDIT COMMITTEE AND
THE QUALIFICATIONS FOR AUDIT COMMITTEE
MEMBERS
THE CITY COUNCIL OF THE CITY OF CUPERTINO HEREBY ORDAINS AS
FOLLOWS:
1. Amendment
Section 2.88.010 of the City's ordinance code is hereby amended to read as follows:
2.88.010 Established - Composition
A. The Audit Committee of the City is established. The Audit Committee shall
consist of five members as follows:
1. Two City Councilmembers
2. One staff member selected by the City Manager
3. Two at large members who are not officials or employees of the City nor
cohabit with, as defined by law, nor are related by blood or marriage to,
any member of the committee, the City Manager or the staff person or
persons assigned to the committee.
Section 2.88.020 of the City's ordinance code is hereby amended to read as follows:
2.88.020 At Large Member- Qualifications
An Audit Committee at large member is not required to be a Cupertino
resident. In selecting an at large member, the City Council shall give priority to individuals
who have substantial accounting, audit, or investment experience, preferably in connection
with a governmental agency.
2. Publication Clause
The City Clerk shall cause this ordinance to be published at least once in a newspaper
of general circulation published and circulat~l in the City within 15 days after its adoption,
in accordance with Government Code Section 36933, shall certify to the adoption of this
ordinance and shall cause this ordinance and her certification, together with proof of
publication, to be entered in the Book of Ordinances of the Council of this City.
