Re: Contract Routing and Approval Process
Purpose
This memorandum details the general process for routing contracts for approval
within the City of Cupertino. The process outlined is intended to provide a high-
level overview for those involved in the contracting process.
Background
The contract routing process in the City of Cupertino is in place to ensure that all
contracts are properly reviewed, approved, and executed in compliance with the
Cupertino Municipal Code (CMC), policies, and legal requirements. The process
includes the departments and individuals responsible for reviewing and
approving the contract before it is signed.
Purchasing guidelines regarding the purchase of supplies and services are
provided in CMC Chapter 3.22. Guidelines related to Public Works contracts and
bidding procedures are provided in CMC Chapter 3.23. The process also follows
the City’s official policies and procedures, including the City Purchasing Policy,
Public Works Purchasing Policy, and Environmentally Preferred Purchasing
Policy in addition to others.
Departmental Responsibilities
• City Departments: Departments are expected to follow all relevant
purchasing laws and City policies, ensure fair and competitive
procurement practices, and coordinate appropriately with the Finance and
Purchasing Divisions. This includes designating responsible staff,
preparing clear and competitive bid materials, and ensuring purchases
meet quality, safety, and compliance standards. Departments also ensure
proper approvals and oversight are in place throughout the purchasing and
contract management process. Staff will determine acceptance of
negotiated terms after consultation with the City Attorney’s Office and Risk
Manager.
• Purchasing Division: The Purchasing Division oversees and support the
City's overall purchasing program. Its responsibilities include developing
and maintaining purchasing policies and procedures, ensuring compliance
with applicable laws, reviewing procurement documents, and providing
guidance on purchasing strategies that promote cost efficiency and value
for the City.
• Public Works Department: Public work contracts are governed by specific
regulations that differ from those of other City departments. These
contracts must adhere to formal bidding procedures, prevailing wage
requirements, and state and federal public works regulations.
• City Attorney’s Office: The City Attorney’s Office is responsible for
drafting and approving contracts to legal form, ensuring that agreements
are legally sound and compliant with applicable regulations and providing
advice and guidance to staff during contact development and for concerns
that arise during contract management.
• City Clerk’s Office: A contract between a contractor and the City of
Cupertino must be approved, signed, and attested by the City Clerk’s
Office. The City Clerk’s Office also manages the centralized tracking of
citywide contracts and ensures that all contract documents are properly
maintained and accessible to the public.
Contract Approval Thresholds
Contracts include any written agreement, purchase order, or other instrument
where the City commits to spending for goods, services or public works. In
accordance with the Cupertino Municipal Code (CMC) Section 3.22.030A, certain
staff are authorized to handle bidding, purchasing, and contract awards within
their department, up to the City Manager’s approval limit. Contracts that exceed
this limit require City Council approval. The following thresholds apply:
Contract Amount Approval Authority
Under $10,000 May be approved by Management Analyst, Supervisor or
Manager.
$10,000 – $75,000 May be approved by Supervisor or Manager.
$75,000 – $220,000 May be approved by the Department Head or Public Works
Director, depending on the type of contract.
Over $220,000 Contracts exceeding $220,000 must be approved by the City
Council. A formal authorization, such as a resolution or
ordinance, may apply.

the purchasing authority and contract signature authority delegations are in the
citywide Purchasing Policy and Public Works Purchasing Policy.
General Process Overview
The City of Cupertino’s contract approval process generally involves the following
stages:
1. Fiscal Review (if applicable):
• This step applies for contracts with financial implications.
• This ensures budgetary alignment and availability of funds.
2. Department Initiation:
• A department identifies the need for a contract.

• A draft contract is prepared, outlining the term of the contract, not-to-
exceed amount, scope of services with specific deliverables, schedule
and payment terms.
• Supporting documentation, such as insurance certificates or vendor
information, may be required.
3. Departmental Review and Approval:
• The draft contract is routed within the initiating department for review
and approval.
• City Manager, Department Head, Department Manager, or specific
subject matter experts are involved at this stage.
• This review ensures the contract aligns with the department's needs and
budget.
4. Legal Review:
• Once approved by the initiating department, the contract is submitted
to the City Attorney's Office for legal review.
• The City Attorney or outside counsel reviews the contract for legal
compliance, proper language, risk assessment, and alignment with City
policies.
5. Risk and Insurance Review (if applicable):
• The City’s outside Risk Manager provides advisement for required
insurance or other contract items that may present risk.
6. Final Approval and Authorization:
• Depending on the contract type and amount, final approval may be
required by the City Manager, City Council, or another designated
authority.
7. Contract Execution:
• Following all required approvals, the contract is executed by authorized
signatories from both the City and the Contractor.
• Copies of the fully executed contract are distributed to relevant parties.
8. Final Copy to City Clerk’s Office:
• Executed contract submitted to City Clerk’s Office.
• Filed and archived in accordance with records retention policy.

contracts executed by the City in the calendar year 2025 (Attachment).
Sustainability Impact
The City of Cupertino has adopted a digital signature process for executing
contracts. This practice reduces paper usage and streamlines document handling.
Fiscal Impact
There are no fiscal impacts associated with this report.
Next Steps
An update of contracts that have been executed by the City will be provided
regularly in the City Manager’s weekly letter to the City Council.
