Agreement
This Agreement is made between Wavelength Automation LLC, ("Wavelength") and City of Cupertino
("Subscriber"). Wavelength is the sole provider of the database software programs “CapitolTrack,”
“ContributionTrack,” and “BudgetTrack.” (collectively referred to as “Services”). By subscribing to the
Services, Subscriber agrees to pay all applicable fees and abide by the terms and conditions below.
Acceptance of this Agreement is a condition precedent to obtaining access to the Services and to maintaining
such access.
General
This Agreement shall be governed by the laws of the State of California. If any provision in this Agreement
is held by any court to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue
in full force. If any legal action is brought to enforce the provisions of this Agreement, the prevailing party
shall be entitled to recover reasonable attorneys' fees from the other party. These fees, which may be set by
the court in the same action or in a separate action brought for that purpose, are in addition to any other relief
to which the prevailing party may be entitled.
Account Access
Users of the Services are limited to employees of Subscriber’s organization only. User access may not be
shared or used by more than one individual user, but may be reassigned as new employees replace former
ones, or as job functions/duties change. Subscriber agrees to notify Wavelength of any/all users change(s).
Subscriber may not rent, lease, or transfer the Services or username(s)/password(s), and may not copy,
reproduce, distribute, or disseminate the database information except in the course of Subscriber's business
activities.
Termination
Wavelength shall have the right to immediately terminate or suspend, at its discretion, access to all or part
of the Services if Wavelength has reasonably concluded that the Subscriber has breached the material
terms and conditions of this Agreement and the Subscriber fails to cure the breach within five (5) business
days of receipt of written notice from Wavelength.
Overdue Balances
Payment is considered overdue if the invoice amount is not received by Wavelength thirty (30) days after
the invoice date. Subscriber agreesto pay the cost of collection on past due balances,reasonable court costs,
and outside attorney’s fees resulting from any legal action taken to collect on overdue invoices.
Non-sufficient Funds
Subscribers will be charged a $30 fee for every check returned due to insufficient funds.

Disclaimer
Wavelength warrants to the Subscriber that the Services provided by it conforms to Wavelength's
represented specifications and will be as free from defects in information and data as Wavelength is able to
deliver. The foregoing notwithstanding, Wavelength makes no representations nor warrants that the
Services will, at all times, be entirely without any inaccuracies, including but not limited to omissions of
information, and Wavelength specifically disclaims any warranty, either express or implied, that the Services
will be without misinformation or will be complete and absence omissions.
Subscriber acknowledges, by Subscriber's use of the Services, that Wavelength obtains its information from
various public and private sources, which sources may fail to identify inaccuracies in the materials so
obtained, and which Wavelength, despite its best effort to review and edit the data so obtained, may
inadvertently pass to the Subscriber. When any misinformation is discovered by Wavelength or is brought
to its attention, Wavelength will make such modification to its Services as necessary both to correct the
inaccuracies and to bring the fact of such correction to the prompt attention of Subscriber.
Wavelength makes no representations nor warrants, either expressly or by implication that the Services are
fit for any particular purpose to which Subscriber shall or intends to put the information provided by
Wavelength. In no event, except as may otherwise be required by applicable state law or other enactments
or regulations, shall Wavelength be liable for any special, incidental, or consequential damages or losses
(including, without limitation, loss of business, costs incurred in litigation, or other pecuniary losses) arising
out of the use of or inability to use the Services.

4. Daily Calendar Events for the Floor and Committee.
5. Ability to search bill recently Introduced, Amended, Enrolled/Enrollment, Chaptered/Signed, Vetoed and Action.

7. Personalized Formats will be available allowing subscribers to customize and define

15. Unlimited customer service and training as needed. Training will be provided as needed on-site (Sacramento area),
via telephone or at Wavelength’s Office, as requested by user.
16. Each account will be issued usernames and passwords with simultaneous access.
17. Document Management will allow user to attach documents and notes to their bill file.
18. Full retention of and access to all user files from prior legislative sessions.
19. Access to the Daily Gut and Amend report from the Workspace.
20. Access to login to CapitolTrack with handheld devices.
21. Legislative qualifying will be marked as “2Year” or “DEAD” for all bills
22. All legislation will be cross referenced by code sections.
23. Hit highlighting in bill text on word search results.
24. Registered Support & Opposition extracted from committee analyses and made available on the bill information
screen.
25. Email notifications on bill updates.
26. A calendar feed of CapitolTrack bill events for Outlook or other mail program.
27. Create and sort reports by Next Deadline.
28. Text Comparison tool that identifies the parts of text that have changed between any two versions of a bill.
29. Scheduled Reports are sent automatically at any time and day of your choosing.
30. AI Summaries using ChatGPT summaries of bill text are easy to read and understand.
31. AI Searching describes a bill with a broader idea or topic. We’ll return a list of bills related to your search using
Artificial Intelligence.
32. Personalized Banner brand your scheduled reports with logos and text.
33. Request for Comment feature on bill text allows any user, including non-subscribers, to provide feedback and join a
group discussion.
34. New calendar formats, including monthly, daily, and agenda views.
35. Masthead offers customization and branding for your reports. Logos and custom fonts can easily be applied to the
header and footer of your report.
36. Support and Opposition Research analyzes which bills have been supported or opposed by different organizations.
