CC Resolution No. 8168 RESOWl'ION NO, 8168 A RESOWl'ION OF '!HE CITY CXXJNCIL OF '!HE CITY OF aJPERI'INO AUIHORIZING EXEaJTION OF 1\GREEMENl' FOR OONTINUATION OF VALIa) PARK CAL TRAIN SHU'ITI.E SERVICE 'IHRaJGH JUNE 30, 1991, AND AUIHORIZING 'roI'AL PAYMENT OF $8,855 FRCM '!HE ENVIIDNMENI'AL IMPACT FUND WHEREAS, Caltrans provides feeder shuttle service to increase ridership on the Peninsula Ccamnute Service and to enhance transit usage along the San Francisco Peninsula; and WHEREAS, since 1988 the City has cooperated with the two major E!l!p1oyers in the Val1= area, Hewlett Packard and Tandem, to help fund the shuttle service between the E!l!ployment area and the Cal Train stop at Iawrence station; and WHEREAS, it is inq:>ortant to keep this shuttle operating to help p:rcn,1Ote use of mass transit and reduce freeway traffic; NCM, 'IHEREFORE, BE IT RESOLVED that the City Council of the City of CUpertino approves the Cooperative Agreement between the California Department of Transportation and the City of CUpertino (Exhibit nAn) , authorizes the execution of the agreement by the Mayor and the City Clerk and appropriates $8,855 from the Envirornnental IlTpact Fund, PASSED AND ADOPl'ED at a regular meeting of the city Council of the city of CUpertino this ?nd day of July , 1990, by the following vote: vote AYES: Members of the City Council Goldman, Koppel, Sorensen, Szabo, Rogers NOES: None ABSENT: None ABSTAIN: None ATTFSl': APPROVED: /s/ Dorothy Cornelius City Clerk /s/ Barbara A. Coop, Agreement RM-38 Sheet 1 of 2 California Department of Transportation and City of Cupertino Cooperative Agreement No, RM-38 Agreement for the Purpose of Transferring Funds to Caltrans for the Support of the Peninsula Commute service Feeder Shuttle Project THIS FUND ALLOCATION AGREEMENT is entered into this day of , 1990, by and between the State of California, acting by and through its Department of Transportation (hereinafter referred to as "Caltrans"), and the city of Cupertino (hereinafter referred to as "city"), WHEREAS Caltrans provides feeder shuttle service to increase ridership and revenues of the Peninsula Commute Service (hereinafter referred to as "PCS" or "CalTrain"), and to enhance transit usage along the San Francisco Peninsula; and WHEREAS the city recognizes the importance of CalTrain as an integral part of its transportation infrastructure and is actively encouraging support of the feeder shuttle project by both the pUblic and private sectors; NOW THEREFORE, in consideration of the mutual covenants herein contained, the parties hereto agree as follows: I. Caltrans agrees to provide, as financing allows, feeder shuttle service as mutually agreed to by Caltrans and city, This Agreement covers the period July 1, 1990 through June 30, 1991, II, city will transmit to Caltrans District 4 Rail Management Branch (Attn: Roger Hooson) a check payable to Caltrans in the amount of $26,564, Alternatively, payment may be made in two installments of $13,282 each, due June 29, 1990 and December 14, 1990, Checks shall include the note "CalTrain Feeder Shuttle Program·, " III, Caltrans shall act as the financial manager and trustee of the funds specified in Section II on behalf of the city, Caltrans shall administer the project with its own staff and shall use all City funds to directly procure feeder shuttle services from a contractor, ~ Coop, Agreement RM-38 Sheet 2 of 2 IV. Caltrans shall competitively procure feeder shuttle services and shall award to the lowest responsive and responsible bidder except that Caltrans may, at its sole option and for any reason, cancel the aforementioned project prior to initiation and return to the City all funds transmitted to Caltrans for purposes of supporting the project, V, Caltrans agrees to provide city with a quarterly report, which shall include ridership information, during the life of the project, Caltrans reserves the right, at its sole option and for any reason, to cancel the project at any time, If Ca1trans does so, a portion of the funds provided by city, prorated to the time remaining in the project, shall be returned to City, VI, This Agreement shall terminate on June 30, 1991, IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed in multiple original counterparts on the day and year first above written, STATE OF CALIFORNIA, DEPARTMENT OF TRANSPORTATION By: Printed Name: Title: Date: CITY OF CUPERTINO By: Printed Name: Title: Date:
