CALL TO ORDER
At 11:42 p.m. Chairwoman Dolly Sandoval called the regular meeting to order in the Council
Chamber, 10350 Torre Avenue, Cupertino,California.
ROLL CALL
Present: Chair Dolly Sandoval, Vice-Chair Orrin Mahoney, and Agency Members Mark Santoro,
Kris Wang and Gilbert Wong. Absent: none.
A. Approve the minutes from the June 5 and 19, 2007 meetings.
City Attorney Charles Kilian explained that, even though two of the cutrent
Redevelopment Agency members were not present at the June meetings, it was still
permissible for them to vote on the minutes, although they could abstain from voting if
they preferred.
Wang/Sandoval moved and seconded to approve the minutes. The motion carried with
Santoro and Wong abstaining.
B. Review the Cupertino Redevelopment Agency Operating Budget for 2008-09. (No
documentation in packet).
Administrative Services Director Carol Atwood explained that the Redevelopment
Agency's budget was included in the City of Cupertino budget as a special revenue fund,
and she showed a five-year overview. She said that this fund was currently"underwater"
because the owners had the property reassessed after the base amount was set when the
Redevelopment Area was created. Also, some staff time has been charged to this fund,
including half of the time of the Economic Development Manager, and there have also
been a number of delays on the part of the developer, so the project has not kept to the
original projected tax-increment timeline.

City Manager David Knapp said that there have already been huge investments in the
property, so the taxable value has increased. Although it ntay take as long as two years
for tax increment monies to reach the city, eventually there will be a positive cash flow
which can be put back into the Redevelopment Area.

NEW BUSINESS
A. Approve the minutes from the December 5 and 6, 2006 meetings.
Kwok/Sandoval moved and seconded to approve the minutes as presented. The motion
carried unanimously.
B. Review the Cupertino Redevelopment Agency Operating Budget for 2007-08. (No
documentation in packet).
Administrative Services Director Carol Atwood stated that there was an estimated
$360,000 tax increment for the 2006-07 year. She further commented on the build-out for
the Redevelopment Agency for the next five years as well as staffing costs. It was
projected that the loans made from the General Fund to the Redevelopment Agency
would be paid back in the 2007-08 year. It was also noted that once any money was put
back into the property in the redevelopment area, the Agency had to implement the
housing requirement obligation. This 25% of the tax increment was for low income
housing anywhere in the city, not just in the redevelopment area.
C. Consider allocating 50•0/0 of discretionary funds from the Redevelopment Agency (RDA)
future Cox increment to be earmarked for a parking structure.
Administrative Services Dirdetor Carol Atwood stated that the developers of Cupertino
Square were asking for 501/, of discretionary funds from the Redevelopment Agency
future tax increment to be earmarked for infrastructure improvements. She noted that the
description on the agenda was incorrect and should have said "infrastructure"
improvements, not "parking structure" improvements, although the infrastructure

improvements could include a parking structure. Earlier the developers had asked for
25% to be earmarked for the parking structure but since the tax increment'had not yet
materialized, the agency had been unable to participate. Staff now believed that the
agency could provide up to $13 million(50%of its projected tax increment)or they could
choose to issue a bond. If bonded, the Redevelopment Agency would be extended from
30 to 45 years. Ms. Atwood also noted that there were three areas in which the agency
could spend money: infrastructure improvements, and economic development programs
and housing. Staff believed that this 50%request was a reasonable one.
Mike Rohde, representing Cupertino Square asked that their request be expanded to
include both infrastructure improvements and tenant improvements. He noted that the
money would still be the agency's and all expenditures would be approved by the Board.
He also noted that leasing meetings were going very well and several offers had been
made.
Emily Chen, property owner of Vallco International LLC, commented that it was unique
in Cupertino that the Redevelopment Agency had only one project. In other larger cities
there are many projects and thus more money. She noted that potential tenants wanted to
know what commitment had been made by the Redevelopment Agency for this project.
Tom Hugunin noted that the Redevelopment Agency Meetings were held late in the
evening and it concerned him that these issues were discussed late at night. It also
eancerned him that if a bond were put in place the Redevelopment Agency would be
extended from 30 to 45 years. He supported infrastructure improvements but not tenant
improvements.
Ned Britt questioned whether these funds could be used for other purposes that were
discussed during the budget discussions,such as traffic safety.
Keith Murphy expressed confusion regarding the Redevelopment Agency. He asked
infrastructure improvements, whether there was a master plan, if there were city-wide
benefits,how the money would be spent,and where the affordable housing be located.
Patty Chi stated her support of infrastructure improvements but believed they needed to
be defined. She also questioned whether any of the Redevelopment Agency money could
go to the school district.
City Attorney Chuck. Kilian explained that a Redevelopment Agency formed. a
Redevelopment Area, which in this case was Cupertino Square. It started with a base tax
amount that is set prior to the construction of any new improvements. The
Redevelopment Agency allowed money to be used to develop this area. A tax increment
was developed, which meant that because buildings were constructed in that area one
could get a higher property tax. This money went to the Redevelopment Agency rather
than to the County, and it must all be used in the Redevelopment Area. However, 25%
must be used for low and moderate income housing which can be placed anywhere in the

city. As the result of a lawsuit filed by the Legal Aid Society when the Redevelopment
Agency was established, the Agency agreed to increase the required 20% for housing to
25 %and to state that some of this would be for extremely low-income housing.
City Manager Dave Knapp noted that creating the Redevelopment Agency encouraged
investment, which increased the value, which provided a flow of funds, which could then
further improve the area and thereby produce more tax revenue.
Lowenthal/Sandoval moved and seconded to adopt Resolution No. 07-01 of the
Cupertino Redevelopment Agency stating the intention of the Board to allocate 50% of
the discretionary funds to be earmarked for infrastructure and tenant improvements in the
Cupertino Square Project Area.The motion carried unanimously.

A. Approve the minutes from the June 20,2006 meeting. (Continued from December 5).
Kwok,'Lowenthal moved and seconded to approve the minutes of June 20, 2006. The
motion carried unanimously.
B. Conduct a public hearing and consider adopting a resolution adopting the Vallco
Redevelopment Project Area 2006-2010 implementation Plan, APN Nos. 316-20-037,
043, 052, 055, 062, 063, 064, 066, 067, 080, 081, and 082, Resolution No. 06-02.
(Continued from December 5).
Community Development Director Steve Piasecki reviewed the staff report via a
PowerPoint presentation.
Consultant Kirk lHeinrichs answered a question from one of the agency members and said
that Redevelopment Agencies don't have a lot of revenue coming in and the City can
assist the agency in issuing bonds.
Chairwoman Kris Wang opened the public hearing at 9:50 p.m.
Darrel Lum said that this hearing should have received citywide notice and been held at a
more convenient time for the public to attend. He noted that the first implementation plan
wasn't included in the documentation and he wondered whether the RDA met its goals
and objectives. He asked if there was stall a need for the RDA since`lallco was privately
financed and the redevelopment is nearing completion. He also asked what the 25%
dollar amount was that the RDA was required to give to hools,and what the amount
would be if the RDA didn't exist. He noted some ques le dollar amounts from table

3 in the packet. He asked about a resolution that was passed in 2005 regarding the RDA's
intent to allocate 25% of it its discretionary funds to f;nance one of two parking
structures. He also asked if the RDA has plans for housing funds in addition to non-
housing funds, how would those bonds be raised, would it require a public vote or can the
RDA do it themselves. He wanted to know why the City was waiting to repay on a loan
that is due to be paid off in 2010. and what that loan was for.
Ruby Elbogen asked that if 25% of the RDA goes to low and very low housing, then
where in Vallco does the rest of the 75% go? She commented that the Council and staff
become so invested in potential income that they lose sight of the people, and that creates
confrontation with the constituents.
Tom Huginin said that he was concerned about floating a $10 rr.:lion bond to support
Vallco because the City must use its own funds to back it up. He commented that Vallco
doesn't fit the definition of blight for a redevelopment agency and wondered if the RDE\
was of any use in this situation. He suggested that improved mall management might
work better.
Jennifer Griffin wondered why the City established an RDA in 2000 with Vallco and why
there is housing in a shopping district. She said that an RDA doesn't help the City or the
residents.
Keith Murphy wondered if having the Council also be the RDA was good for the
community. He asked to whom the RDA was responsible and suggested getting more
community input.
Chairwoman Wang closed:he public hearing.
Pia ecki explained that the agency was established via a public process in 2000 to help
Vallco Fashion Park in the retail market place. The Council'at that time felt a successful
Vallco was vital to the community. He noted that the hearing tonight was a 5-year
implementation plan only and that there would be a public process'if the RDA decided to
issue bonds or follow through on any of the plan. Nothing in the document commits the
RDA or the Council to do anything in the future and the plan can be changed. He
suggested adding a Q&A page to the City's website to clarify what an RDA is.
Vallco representative Mike Rohde said that the RDA Implementation Plan is a good
document that would help in future times. He gave an update on the redevelopment
project at Vallco: the Macy's parking structure is open and the green screen installed; the
first level is open on the Penny's parking structure and the third level will open in a few
days; interior improvements are continuing inside the mall; the AMC theaters are
schedu'ied to open in March; Vallco is working with a leasing team in New York,
Chicago and Los Angeles to bring stores to the mall; Strike bowling and the food court
vendors are applying for permits; California Pizza Kitchen and Islands Restaurants are
submitting drawings to the City: external work on Sears is complete; and interior
improvements in Macy's will begin in February or March.

ROLL CALL
At 12:55 p.m. Chairman Richard Lowenthal called the meeting to order in the City Council
Chamber, 10350 Torre Avenue, Cupertino, California.
Present: Chairman Richard Lowenthal, Vice-Chair Kris Wang, and Redevelopment Agency
members Patrick Kwok,Orrin Mahoney, and Dolly Sandoval. Absent: None.
ROLL CALL
A. Approve the minutes from the June 6; 2006 meeting.
Sandoval/Kwok moved and seconded to approve the minutes as presented. The motion
carried unanimously.
B. Conduct a second public hearing and adopt the Cupertino Redevelopment Agency's
Onerating Budget for 2006-07, Resolution No. 06-01.
Chairman Lowenthal opened the public hearing. There were no requests to speak to the
matter, and the hearing was closed.
Kwok/Wang moved and seconded to adopt Resolution No. 06-01. The motion carried
unanimously.

and Redevelopment Agency members Patrick Kwok, Orrin Mahoney, and Dolly Sandoval.

NEW BUSINESS
A. Approve the minutes from the June 21,2005 and September 6, 2005 meetings.
Sandoval/Wang moved and seconded to approve the minutes from the June 21, 2005 and
September 6, 2005 meetings. The motion carried unanimously with Councilmember
Mahoney abstaining.
B. Review the Cupertino Redevelopment Agency Operating Budget for 2006-07. (No
documentation in packet).
Director of Administrative Services Carol Atwood stated that the proposed
redevelopment budget for 2006-07 was $217,438 for the Vallco Redevelopment Project.
This included '/z of an economic development RDA manager, a five-year update plan and
$10,000 to be identified.
Sandoval/Kwok moved and seconded to approve the Cupertino Redevelopment Agency
Operating Budget for 2006-07 in the amount of $217,438. The motion carried
unanimously.

Administrative Services Director Carol Atwood explained that this is a$57,000 line item
for the Redevelopment Agency Project area, which is basically the Vailco Shopping
Center,and had been discussed as a part of the city's overall budget.
At 8:24 p.m. Chairman Kwok opened the public hearing. There were no speakers and the
hearing was closed.
James/Wang moved to approve the proposed budget. The motion carried with Vice-
Chairman Lowenthal absent.

Finance Director Carol Atwood said that this budget was included in the City of
Cupertino's Community Development budget that Council reviewed earlier this evening,
a line item of $56,828.00. She said that the agency has not received sufficient tax
increment revenue to cover the costs to date but she anticipated that payback to the
General Fund would begin in two or three years after build-up of the Vallco
infrastructure.
James/Sandoval moved to approve the proposed budget. The motion carried
unanimously.
